This indenture, made this day of 19Y, between KING
COUNTY, WASHINGTON, THE CITY OF TUKWILA, WASHINCi Y'ON, and THE GREEN RIVER FLOOD
CONTROL ZONE DISTRICT as tenants in common, hereinafter referred to as "GRANTEE"
and EQUITEC REAL ESTATE INVESTORS FUND XVI, a California limited partnership,
hereinafter referred to as GRANTOR
WITNESSETH that the GRANTOR, for good and valuable in consideration, receipt of
which is acknowledged, and by the benefits which will accrue to the land of the
GRANTOR by the exercise of the rights herein granted, do hereby demise, release and

O quitclaim unto GRANTEE, its successors, assignees, licensees and permitees a perpetual
�t and assignable right and easement for the purposes hereinafter stated, over and
L0 through, under, along and across all or any part of that certain parcel of land situated in
King County, State of Washington, described in Exhibits A and B.

U Said right and easement are for the following purposes: The right to enter upon
the above described land to construct, maintain, repair, operate, patrol and replace a
RS flood protection levee, including all appurtenances thereto; reserving however, to the
owners, their heirs and assigns, all such rights and privileges in the land as may be used
n without interfering with or abridging the rights and easement hereby acquired; subject,
however, to existing easements for public roads and highways, public utilities, railroads
and pipelines.
It is understood and agreed that GRANTEE and /or the United States, their
contractors or agents, shall have the right to appropriate from the land above described,
such timber, rock, earth or gravel as may be necessary for the construction or repair of
O� said bank protection and /or flood control works.
The consideration above mentioned is accepted as full compensation for all
damages incidental to the exercise of the rights above granted.
To have and to hold, all and singular the said easement and right -of -way, together
with appurtenances, unto GRANTEE, its successors, assigns, licensees and permitees.

That portion of Government Lot 4, in Section 25, Township 23 North, Range 4 East,
W.M., described as follows:
Beginning at the most westerly corner of Tract "B," Andover Industrial
Park No. 4, according to the plat thereof recorded in Volume 79 of Plats,
on pages 39 and 40, records of King County, Washington;
Thence S35 30'W, 380.0 feet, more or less, to the westerly right -of -way
line of the James Christensen Road as said right -of -way was established
by deed recorded in Volume 1134 of Deeds on Page 305 under Auditor's
File No. 1499546, records of said county and as said right -of -way is
shown on that certain survey map prepared by Jones Associates, Inc.,
Project No. 76016, dated July 6, 1976, for the City of Tukwila;
Thence northeasterly along said westerly right -or -way line to the most
southerly corner of said Tract "B';
Thence N45 09'27 "W, 46.34 feet to the point of beginning.
