Purpose &Description:
The purpose vf the FFY 2017 Homeland Security Grant Program (17HSGP) Is to support state and local efforts to prevent terrorism
and other catastrophic events and to prepare the Nation for threats and hazards that pose the greatest risk to the security of the
United States. 17HSGP provides funding to implement investments that build, sustain, and deliver the core capabilities essential to
achieving the National Preparedness Goal (the Goal) of a secure and resilient Nation. 17HSGP supports core capabilities across the
five mission areas of Prevention, Protection, Mitigation, Response, and Recovery based on allowable costs. HSGP is comprised of
three interconnected grant programs: State Homeland Security Program (SHSP), Urban Areas Security Initiative (UASI), and
Operation moneAanden(Op3G).Together, these grant programs fund a range of preparedness activities, Including planning,
organization, equipment purchase, training, exercises, and management and administration.
Overview
This Agreement isbetween the King County Sheriffs Office, herein referred toas"Lead Agency"
and the Tukwila Police Department, herein referred to as "Participating Agency".
The FFY 2017 Urban Area Security Initiative (UASI) Program, via executed contract E18-171
between the Washington State Military Department ("Military Department") and the King County
Office ofEmergency Management, anupper tier agency, has provided pass through funds tothe
Lead Agency, which has used some of those funds to purchase Downlink Viewers ("the
equipnnent") for on -scene security and protection. Now, under this Agreement, the Lead Agency
will provide the Participating Agency with one viewer(s). The value of each Downlink Viewer for
this project is$18,593.19(ei,hbeenthousondfivehunorydn/nety^thoeedm0oc;mndn/neteen
cents).

As consideration, the Participating Agency shall comply with the requirements outlined in this

Requirements and Procedures
A. Compliance
The Participating agency shall comply with all applicable state and federal laws, rules,
regulations, requirements and program guidance identified or referenced in this Agreement
and the informational documents published by DHS/FEMA applicable to the 17HSGP Program,
including but not limited to, all criteria, restrictions, and requirements of the "Department of
Homeland Security Notice of Funding Opportunity Fiscal Year 2017 Homeland Security Grant
Program' document, the DHS Award Letter for Grant No. EMW-2017-SS-00101-SOI in
Attachment 1 to Exhibit B, and the federal regulations commonly applicable to DHS/FEMA
grants.
B. Equipment Management and Administrative Requirements
1) The Participating Agency shall comply with 2 CFR 200.313 for management of equipment,
and 2 CFR 200.314 for management of supplies, to include, but not limited to the
a. The equipment obtained under this agreement by the Participating Agency or a
subcontractor of the Participating Agency, shall be recorded and maintained in the
Participating Agency's or subcontractor's equipment inventory system,
b. Equipment is to be marked with "Purchased with funds provided by the U.S.
Department ofHomeland 3ecuht«"whenever possible.
c. Upon successful completion of the terms of this Agreement, the equipment obtained
through this Agreement will be owned by the Participating Agency, or a recognized
subcontractor ofthe Participating Agency for which a contract, subavvardagreement,
orother means oflegal transfer ofownership isinplace.
d- The Participating Agency shall beresponsible for any and all operationand
maintenance expenses and for the safe operation of the equipment, including all
questions mfliability. The Participating Agency shall develop appropriate
maintenance schedules and procedures to ensure the equipment is well maintained
and kept in good operating condition.
7\ The Participating Agency shall maintain equipment records that include: all necessary
certification and licenses, a description of the equipment; the manufacturer's serial
number, model number, or other identification number; the source of the equipment,
including the Catalogue of Federal Domestic Assistance (CFDA) number; who holds title;
the acquisition date; the value (cost) of the equipment and the percentage of Federal
participation in the value (cost); the location, use and condition of the equipment at the
date the information was reported; and disposition data including the date of disposal and
sale price ofthe equipment.
3\ Records for equipment shall be retained by the Participating Agency for a period of six (6)
years from the date that the grant isclosed. |fany litigation, claim, oraudit isstarted
before the expiration of the six year period, the records shall be retained until final
resolution of all litigation, claims, or audit findings involving the records. If any litigation,
claim, or audit is started before the expiration of the six (6) year period, the records shall
be retained by the Participating Agency beyond the six (6) year retention period until all
litigations, claims, or audit findings involving the records have been resolved.
4) The Participating Agency shall take a physical inventory of the equipment and reconcile
the results with the property records at least once every two (2) years. Any differences
between quantities determined by the physical inspection and those shown in the records
shall be investigated by the Participating Agency to determine the cause of the difference.
The Participating Agency shall, in connection with the inventory, verify the existence,
current utilization, and continued need for the equipment.
5) The Participating Agency shall develop a control system to ensure adequate safeguards to
prevent loss, damage, unauthorized use and theft of the equipment. Any loss, damage or
theft shall be investigated and a report generated which shall be submitted to the Lead
Agency.
6\ |fduring the agreement period the Participating Agency nolonger needs the equipment, it
shall promptly notify the Lead Agency, which will determine the next use/disposition for
the equipment, including its return to the Lead Agency, and in compliance with federal
regulations. if the Lead Agency authorizes the Participating Agency to sell the equipment,
proper sales procedures must be established toensure the highest possible return.
7\ The Participating Agency must obtain and maintain all necessary certifications and
licenses for the equipment. Participating Agency is solely responsible for ensuring
equipment eligibility.
O\ The Participating Aeencymustpassonequiprnentmanagemnentrequinennentsthatnneet
or exceed the requirements outlined above for all subcontractors which receive any
equipment from this agreement.
9) The Participating Agency shall comply with applicable provisions governing DHS access to
records, accounts documents, information, facilities, and s1aff, including but not limited
a. The Participating Agency must cooperate with any compliance reviews or
compliance investigations conducted by DHS.
b. The Participating Agency must give DHGaccess to, and the right toexamine and
copy records, accounts, and other documents and sources of information related
tothe federal financial assistance award and permit access tofacilities, personnel,
and other individuals and information as may be necessary, as required by DHS
regulations and other applicable laws orprogram guidance.
10) The Lead Agency must obtain the Military Department's approval prior to taking the
actions listed below. Likewise, the Lead Agency will seek the Military Department's
prior approval before the Participating Agency takes any of the actions listed below.
The Participating Agency must contact the Lead Agency before taking any of the
following actions:
a. Advertising orpublicity relating tothis Agreement inwhich the Military
Department's name is mentioned or language used from which the connection of
the Military Department's name may be inferred or implied without the prior
written consent nfthe Military Department.
b. Use or disclosure of any information concerning the Military Department for any
purpose not directly connected with the administration nfthe Military
Department's or King County's responsibilities with respect to services provided
under the contract except asrequired bylaw.
11\ The King County Office of Emergency Management is solely responsible for including the
expenditures that are reimbursed bythe Military Department for project activitias
performed on its Schedule of Expenditures of Financial Assistance (SEFA). To avoid and
prevent duplication of reported expenditures, the Participating Agency shall ensure that
no expenditures incurred by it or its vendors or subrecipients under this Agreement are
reported onthe Participating Agency's 3EFA.
C. indemnification
Asfurther consideration, the Participating Agency shall defend, Lindemnify, and hold harmless
King County and its officers, employees, and agents, orany ofthem from any and all claims,
actions, suits, liability, loss, costs, expenses and damages of any nature whatsoever, by any
reason arising out of the acts or omissions of the Participating Agency, its officers, employees,
and agents, or any of them relating to or arising out of the equipment provided pursuant to
this Agreement. In the event that any suit based upon such a claim, action, loss or damages is
brought against the County, its officers, employees, agents, or any of them, the Participating
Agency shall defend the same at its sole cost and expense; provided that the County, in its sole
discretion, reserves the right to participate in said suit; and if final judgment be rendered
against the County, and its officers, employees, agents or any of them, or jointly against the
County and the Participating Agency and their respective officers, agents, orany ofthem, the
Participating Agency shall satisfy the same. The Participating Agency's indemnification
obligation shall include but is not limited to, all claims against the County by an employee or
former employee of the Participating Agency and its subcontractors, and the Participating
Agency expressly waives by mutual negotiation, with respect tothe County only, all immunity
and limitation on liability under any industrial insurance act, including Title 51 RCW, other
worker's compensation act, disability benefit act, or other employee benefit act of any
jurisdiction which would otherwise be applicable in the case of such claim. In the event the
County incurs any costs including attorneys' fees toenforce the provisions ofthis paragraph,
all such costs and fees shall berecoverable from the indennn|tor. This indemnification shall
survive the expiration ortermination ofthis Agreement.
