Dear Mayor Ekberg:
Wethank the City of Tukwila for the opportunity to provide Fire Consultant services. Below is
our standard agreement for providing consulting services.
Term. The term of this Agreement is ongoing. provided the City of Tukwila may terminate this
agreement at any time.
prothmanFire Consultant. The PnthmanFire Consultant serves as a Puothmen Company
employee assigned to the City of Tukwila and sha|| perform such duties moassigned bvthe City.
The City shall have the right to direct the Prothmmn Company to replace the F|na Consultant at
any time.
Employer Duties of the ProthmonCompany. The PmthmanCompany shall provide n
Pndhman Company employee qualified to act aothe Cit/a Fire Consultant during the term of
the contract. The Prothmen Company ehoU (1) pay all vvmgem and other remuneration to its
employee who is provided under this Agreement, (2) prepare and file all payroll tax returns and
reports, (3) pay all amounts due and owing pursuant to the payroll taw returns and reports, (4)
prepara, h|e, and furnish to the employee applicable employee tax forma. and (5) prepare and
file, with acopy tothe City, applicable employer tax forms.
Duties of the City. When applicable, the City shall provide owork place for the Fire Consultant
and maintain the work place inaccordance with applicable health and working standards, notify
the Prothrnon Company immediately of all employee injuries and provide reimbursement to the
Fire Consultant for costs incurred as o result of performing City business such as mmi|eoOe, travel
expenses and other similar costs at the normal City rates and in accordance with the Oty'o coat
reimbursement policies applicable to City employees.
Fees & Expenses. The Fire Consultant's hourly rate is $115.00 for each hour worked by the
Fire Consultant. In addition, the City will be billed for two (2) hours of travel time, at o roba of
$57.50 per hour, for each day worked by the Fine Consultant. Invoices will be submitted to the
City emery two weeks and are due within twenty (20) days of receipt. A 396 charge will be added
reflecting Prothnnan'y City of Issaquah and Washington State B&[) tax obligations. The City is
also responsible for any client -required |ioonaem` fees or taxes. Delinquent payments will be
subject to a late payment charge of 12% (annual) and which will be applied to any unpaid
balance owed commencing seven (7)days after the payment due date.
The total amount payable byCity under this agreement for Fire Consultant services shall not
exceed$4O.UOD.00. Any payment byCity inexcess of $40.00.00shall first require approval by

Finder's Fee. If the City chooses to hire the Fire Consultant as a regular City employee, the
City agrees to pay the Pnothrnan Company the percentage of the starting annual salary based
upon the length ofthe assignment withtheCitxaonepresentedbe|mw:

Indemnification. The Prothmmn Company shall indemnify, defend, and hold harmless the City
for the purposes ofall required oovro| deductions and withholdings, keoo|h required workers'
compensation insurance and other employee benefits. The City releases and agrees to
indannnify, defend, and hold harmless the Prothnlan Conmpany, the employees of the Prothnman
Cornpany, and personnel, dinaotora, and officers of the Pndhmen Company from any and all
actiono, c/airns, damoges, orinjuries to persons or pvopedv, penoKiea, obligations nrliabilities
arising out of or related to the services performed by the consultant that are under the control of
the City and are within the course and scope ofCity employment. The Prothrnan Company
releases and agrees to indennnifv, dafend, and hold harmless the City, its offioers, employees
and consultants, from any and all act|ono, o|ainno, domoges, orinjuries to persons or propedy,
penm|tieo, obligations or liabilities arising out of or related to the acts or omissions of the
consultant that any not under the control of the City or are not within the nnunso and scope of
City employment. If the City is notified or becomes aware of any alleged improper or illegal
activities by the consultant, the City shall notify the Prothman Company immediately.
