LATECOMERS AGREEMENT
BETWEEN THE CITY OF TUKWILA
KOAR-SEATAC PARTNERS, L.P.
FOR STORM SEWER EXTENSIONS

WHEREAS, the City of Tukwila "City entered into a
Developers Agreement with the predecessors -in- interest to KOAR-
SEATAC Partners, L.P., a California limited partnership, for the
construction of the Embassy Suites Hotel in Tukwila, and that
Developers Agreement was recorded and given King County Auditor's
File No. 8907070618; and
WHEREAS, as a part of the Developers Agreement, the City and
the Developer agreed to enter into a Latecomers Agreement whereby
the City would collect a pro rata payment from properties which
were benefitted by the storm sewer improvements installed by
Developer pursuant to Chapter 35.91 RCW; and
WHEREAS, the improvements are now installed and the
Developer has obtained his final costs, it is hereby agreed as
follows.
1. COSTS AND BENEFITTED PROPERTIES.
1.1 The total cost of the extension of the storm sewer
is $242,942.02. This cost includes the Developer's share of the
Y construction costs.
1.2 All the properties benefitted are identified on
the attached Exhibit A. Exhibit A identifies the percentage of
the cost attributable to each party and the cost of the
construction to be collected from each property.
1.3 The legal description of each benefitted property
is attached as Exhibit B.
2. COLLECTION OF COSTS.
2.1 Pursuant to Chapter 35.91 RCW, the City agrees to
assess any owner of real estate identified on Exhibit A who did
not contribute to the original cost of the storm sewer
constructed by the Developer, and who subsequently taps into
and /or uses said facilities, that property's fair pro rata share
of the cost of construction of the storm sewer, as identified on
Exhibit A.
2.2 The City agrees to pay the Developer all of the
sums collected pursuant to this Agreement within sixty (60) days
after receipt thereof, less reasonable costs of administering
this Agreement, until the total of said payments equals the cost
of constructing the improvements, less the Developer's pro rata
share, or fifteen (15) years from the date of this Agreement,
whichever shall occur first.
3. NOTICES. All notices and payments shall be sent to
ROAR SEATAC Partners, L.P., 555 South Flower Street, Suite 2424,
Los Angeles, California 90071, unless the City is notified in
writing of a change of address or of recipient. Notices to the
City shall be sent to:

4. RECORDING. This Agreement shall be recorded with the
office of the King County Auditor, as required by Chapter 35.91
RCW, and the cost of said recording shall be paid by the owner.
5. ATTORNEYS' FEES. In the event that either party shall
commence litigation against the other in order to enforce any
term or condition of this Agreement, the prevailing party in such
litigation shall be entitled to recover its costs, including
ti reasonable attorneys' fees.
