PROPERTY USE AND DEVELOPMENT AGREEMENT
THIS INSTRUMENT, executed this 27.2> of FEtrzo may,
1982, in favor of the CITY OF TUKWILA, a municipal corporation
"the City" herein) by the JACK A. BENAROYA COMPANY, a
Washington corporation "Benaroya" herein) and JACK A.
BENAROYA, individually:
WITNESSETH:

WHEREAS, Benaroya is the owner of certain real property
r, located in the City of Tukwila, County of King, State of
QD Washington, which is more particularly described in Exhibit 1
attached hereto and incorporated herein by reference "the
Property" herein); and
WHEREAS, pursuant to the Building Code and Zoning Code of
the City of Tukwila, Benaroya has applied for a building permit
to remodel an existing structure which is located on a portion
of the Property; and
WHEREAS, to facilitate the granting of the building permit,
Benaroya is willing to provide and maintain a Parking Plan for
the benefit of the Property; and
WHEREAS, the City is willing to approve the bulding permit
subject to the Parking Plan and subject to the execution and
recording of an appropriate instrument with the City;
Now, Therefore, Benaroya hereby covenants, bargains and
agrees on behalf of itself, its successors and assigns, that if
the building permit as applied for is granted, the Property
will be developed and used in accordance with the following
terms and conditions:
1. Benaroya will develop the Property pursuant to the
plans which have been filed with, and will be approved by, the
City for remodeling the Doces building into the "Pavilion
C Outlet Center" which plans are found in Tukwila File Nos. 2245,
EPIC 178-82, subject to further revisions upon application by
QD
Benaroya and approval by City, pursuant to the requirements of
Tukwila's Building Code and Zoning Code.
2. The Parking Plan (consisting of both Parking Plan "A"
and Parking Plan "B as attached hereto and marked Exhibit 2
and incorporated herein by reference as though fully set forth,
shall be instituted by Benaroya pursuant to the terms of said
Plan.
3. This Agreement shall be recorded in the records of the
King County Department of Records and Elections and filed in
the records of the City Clerk, and the covenants hereof shall
be deemed to attach to and run with the Property and shall be
binding upon Benaroya, its successors and assigns, and shall
apply to atter acquired title to Benaroya to the Property.
4. This Agreement may be amended or modified by written
agreement between Benaroya and the City; provided any such

amended agreement shall be approved by the Tukwila City Council
by ordinance.
5. This Agreement is made for the benefit of the City and
property owners located within 300 feet of the Property and the
City may institute and prosecute any proceeding at law or in
equity to enforce this Agreement including injunctive relief.
Such judgment may include reasonable attorneys' fees for the
prevailing party.
6. Nothing in this Agreement shall prevent the City
Council from making such further amendments to the Building
Code and Zoning Code as it may deem necessary in the public
interest.
7. In the event any covenant, condition or restriction
hereinabaove contained or any portion of this Agreement is held
to be invalid or void, such invalidity or voidness shall in no
way affect any other covenant, condition, or restriction
hereinabove contained.

EXHIBIT 2 TO
PROPERTY USE AND DEVELOPMENT AGREEMENT
PARKING PLAN
PARKING PLAN "A"
Commencing upon the opening of the Pavilion Outlet Center,
the Benaroya Company will implement the following elements,
also shown graphically on the Parkway Plaza Master Site Plan
and Outlet Center Parking Plan, Sheet AA1 (revised 2/15/82)
attached hereto:
1. A total of 1996 parking spaces on that
portion of the "Property" lying east of the
Southcenter Parkway will be allocated as indicated on
the Master Site Plan.
2. A shuttle bus seating at least 20 persons
will run continuously during regular business hours
from the main entry of the Pavilion Outlet Center to a
"Metro -type" shelter in the Parkway Plaza north
parking lot as shown on the Master Site Plan. The
area around the shelter will be clearly designated for
parking of Pavilion Outlet Center's customers' and
employees' cars. The bus route will be as indicated
by the arrows on the Master Site Plan to ensure
efficient delivery of customers and employees to the
Pavilion Outlet Center and to encourage use of the
existing excess parking in the Parkway Plaza north
lot.
3. Two hundred spaces (200) in the Parkway
Plaza north parking area, generally surrounding the
shuttle bus station as shown on the Master Site Plan,
will be designated for customers and employees of the
Pavilion Outlet Center.
4. The parking area immediately adjacent to the
Pavilion Outlet Center will be re- striped to provide
additional spaces and to provide for the parking of
compact cars, as graphically shown on the approved
final Parking Plan for the Pavilion Outlet Center as
shown on Sheet P1 (Dated 2/19/82).

5. Parking closest to the Pavilion Outlet
Center will be reserved for customers of the Center
with parking areas for tenants and employees
specifically designated at a less convenient
location.
In the event that the implementation of the
provisions of paragraphs 1 through 5 does not prevent
or alleviate traffic congestion and parking problems
on or near the Property, Benaroya may, at its
discretion implement the following supplemental
measures.
6. Provision of additional off street parking
spaces on the Property on the west side of Southcenter
Parkway, including: a) an 85 -space lot in the area
commonly known as the North Canyon and shown on the
Master Site Plan; and b) approximately 500 surface
spaces within the developed parking area west of
Southcenter Parkway, in addition to the North Canyon;
and
7. Inclusion within the shuttle bus route, of
that portion of the property lying west of Southcenter
Parkway, or
8. Such other measures, approved by the City's
Planning Department, which provide additional parking
spaces serving the Pavilion outlet Center.

PARKING PLAN "B"
At such time as the City of Tukwila Planning Department
determines that a dangerous or undesirable parking situation
exists on the Property as a result of the use of the Pavilion
Outlet Center, or as a result of any other development of the
Property, Benaroya shall cause to be implemented Parking Plan
"B" containing the following element which replaces those
contained in Parking Plan "A
Construction of an attached parking structure on the
Pavilion Outlet site proper with sufficient parking
capacity to satisfy the Tukwila Planning Department
that the dangerous or undesirable parking situation
has been corrected, not to exceed 665 spaces for the
Pavilion Outlet Center as approved by the building
permit to be issued hereunder, together with any
additional parking spaces required by the Planning
Department to mitigate such dangerous or undesirable
conditions, and together with any additional parking
spaces required by any permits later issued for more
intensive uses on the Pavilion Outlet Center site
proper.
The decision of the City's Planning Department requiring
Benaroya to implement "Parking Plan "B shall be made in
writing and a copy of such determination shall be sent by the
City, by certified mail, to Benaroya. Benaroya shall implement
said Plan within 90 days of such notice.
Benaroya may appeal the decision of the Planning Department
requiring implementation of Parking Plan "B" by filing a
written notice of appeal with the City Clerk. Such appeal
shall be considered by the City Council within 30 days of the
filing of the notice of appeal. The City Council may affirm,
deny, or modify the determination of the Planning Department.
The decision of the City Council shall be final.
