Vendor to provide and install PVC single ply membrane (Roofing system will be white). 17. Vendor to provide and install PVC wall & curb flashings. 18. Vendor to assist in passing city inspections. 19. Vendor to provide 20 -year NDL manufacturer's warranty. 20. Vendor to include 2 -year warranty from substantial completion. 21. Vendor expected to work every weekday where conditions are not raining, hailing or snowing until project completion. 24. Owner is responsible for WSST. 25. Roofers Local 54 drug screening is acceptable for this contract. 26. Owner to provide Vendor with 220V power as necessary. 27. Dahlgren and Vendor to agree upon designated laydown area before construction start. If Dahlgren requires Vendor to move laydown area at any time, Vendor will be compensated for the costs to do so. 28. Dahlgren will submit a written notice 3 -days in advance of any Vendor warehouse visits to inspect materials. 29. Vendor will not be held financially responsible for unforeseen conditions. 30. Dahlgren will construction safety covers at the skylight locations and will ensure skylight covers meet OSHA & WISHA requirements. 31. Vendor is responsible to comply with OSHA & WISHA requirements for all other elements of the roof upgrade save skylight covers. This included fall protection safety requirements around the perimeter of the roof. 32. Pending Dahlgren approval, Vendor is able to work as many hours in a single day as deemed necessary to meet schedule and weather requirements. 33. If Dahlgren directs Vendor to leave the jobsite or to work out of sequence for unforeseen reasons, Vendor will be compensated for the associated comeback costs associated. 34. If Vendor installs products and materials as submitted and approved and per the manufacture's requirements his work will not be considered a "Deviation". There will be no issue with Exhibit A, Part II, Part E, Item 1: Dahlgren's Deviation System. 35. Upon completion of work and inspection and approval by manufacture's representative, Contractor will issue a Substantial Completion Letter to both the Owner and Vendor. Vendor will not be held responsible for damage after that time. 36. Vendor is not responsible for other damage performed by other firms during construction phase. 37. Vendor site specific safety plan will cover items that directly pertain to the tasks perform by vendor on this project. DAHLGREN Industrial, Inc. Items listed in Exhibit A Part I "Scope Requirements" will take precedent over Part 2 "Specific Conditions". 39. EXCLUSIONS: 1. Premium time. 2. WSST. 3. Abatement. 4. Poor weather delays. 5. Rotten/damaged wood replacement. 6. Unforeseen damaged. 7. Design fees. PART II. SPECIFIC CONDITIONS The Specific Conditions herein are intended to supplement the Subcontract /Purchase Order requirements, Contract Drawings and other contract documentation. Part A — Site Requirements & Logistics 1. The Vendor has examined the Project site and the Contract Documents and reviewed with Dahlgren Industrial the designated areas of access and delivery. The Vendor agrees that such are satisfactory and sufficient for its needs in the prosecution of its scope. Any change in such areas shall not be permitted without prior written approval of Dahlgren Industrial. 2. All operations must comply with the requirements of the Orientation and Procedures for Vendor Personnel, Project Work Rules, Project Safety Rules and the Site Logistic Plan, which are hereby incorporated by reference and made part of the Subcontract Agreement. 3. Union/Merit Shop Project. This Vendor is aware that this Project is a "Union/Merit Shop" job; Union/Non-union tradesmen will be working together to furnish and execute a finished product. This Vendor will provide manpower that offers a homogeneous work environment without affecting other trades on the Project. 4. The project work hours will be as follows: a. Monday — Friday, 7:30 a.m. — 4:30 p.m. or as agreed upon by Dahlgren and Vendor. 5. This Vendor is to include whatever "winter premium costs" will be necessary to maintain the construction schedule, unless otherwise specified. Any stand-by labor that may be required (i.e. laborers maintaining heaters, electricians, etc) to meet the schedule requirements are to be included in the Bid Submission / Subcontract Price. In summary, NO CLAIMS will be accepted for inclement weather, delays, premium time costs, etc. for this Vendor to maintain the schedule. 6. Dahlgren Industrial will NOT be providing a hoist, crane or lifts. Consequently, DAA EN Industrial, Inc. The Vendor must park all of its vehicles in the designated Vendor parking area established by Dahlgren Industrial. Any vehicle towed for improper parking is done so at the vehicle owner's expense. 8. Every employee of this Vendor will be required to attend an orientation program AND drug screening prior to starting work, at which the site specific Project Work Rules, Site Logistics and Safety Program will be discussed. 9. Temporary power will be provided by others. This Vendor is responsible for all hook-ups/connections to the temporary power system. This power will be 110v 60cy (20A circuits). Any other voltage or times of operation will be at the Vendor's expense. This Vendor is responsible for all electric requirements, task lighting and furnishing of portable generators, as required to complete this scope of work, in the event the temporary power provided by Dahlgren Industrial is unavailable for use, for any reason. 10. This Vendor shall be responsible for cleaning of all debris as a result of this Vendor's operations. This Vendor shall be responsible to identify, for proper disposal, any hazardous or toxic debris and/or materials resulting from this Vendor's operations. Failure to clean-up debris on a DAILY (or as directed by Dahlgren Industrial) basis will result in Dahlgren Industrial performing the clean up and issuing the appropriate back charges on a time and material basis as determined by Dahlgren Industrial. 11. This Vendor shall place and relocate its trailers, at its own expense, when and where directed by Dahlgren Industrial, and is responsible for acquisition, permits, maintenance and removal of all utilities and telephone services required for its trailers. All energy charges for the same will be this Vendor's responsibility. This Vendor shall be responsible to replace, at no cost to the Project, any trailer determined by Dahlgren Industrial to be in a condition unacceptable for the Project. Vendors are responsible to furnish their own telephone service. The use of Dahlgren Industrial's phone shall not be permitted. 12. The location of all delivery and storage trailers, equipment and stored material must be submitted to and approved by Dahlgren Industrial prior to delivery. The lay down, sorting and storage areas available at the Project site are extremely limited. Dahlgren Industrial reserves the right not to allow trailers onto the Project site if the delivered material is improperly scheduled. 13. Each of this Vendor's employees who works on site will be given the Dahlgren Industrial "Orientation and Procedures Manual for Vendor Personnel" orientation booklet and a "Contractor Guide" listing the site rules, regulations and procedures. Each of this Vendor's employees will have to sign the "Acknowledgment" page stating that this employee has read and understands all the rules, regulations and procedures as a condition of their employment on this project. DAHLGREN Industrial, inc. PROJECT: Northwest Ironworkers Trust Tukwila Roofing Remodel REFERENCE: ROOFING BID PACKAGE NO.: 624 / 07400.2 EXHIBIT A - SPECIFIC CONDITIONS & SCOPE OF WORK May 02, 2017 Page 5 of 16 14. It is the responsibility of the Vendor to provide for dust control if required, for their work. If a justified complaint is received from the Owner or neighbor, the Vendor shall immediately take whatever steps necessary to correct the situation. If a second justified complaint is received, Dahlgren Industrial shall have an option of correcting the problem with all costs to be charged to the responsible Vendor. 15. Receiving and inspection of materials purchased by Dahlgren Industrial or the Vendor shall be performed at the Project Site and documented by the Vendor. Vendor shall ensure that such inspections take place and are documented properly. Furthermore, shipments directed to a Vendor will be subject to a random inspection by Dahlgren Industrial. 16. The Vendor is required to submit a site-specific safety plan for review and approval by the Dahlgren Industrial supervisor prior to mobilizing on site. An outline of such a plan is available upon request. 17. Layout and Commencement of Work: Subcontractor shall lay out its work and be responsible for the accuracy thereof; Commencement of work by any Subcontractor trade will be construed as acceptance of existing conditions and surfaces as being satisfactory for application of subsequent work and full responsibility for finished results and assumption of warranty obligations under the Subcontract. 18. Storage, Protection, and Clean Up: Subcontractor acknowledges that jobsite conditions may be extremely crowded. Jobsite storage area may be made available subject to the Contractor's approval. Materials stored at the jobsite will be at the Subcontractor's own risk. Areas designated as storage are not to be considered permanent. Stored material may require immediate relocation at Subcontractor's expense. Subcontractor is responsible for securing and protecting his own materials. Subcontractor shall be responsible for any off-site storage costs. Subcontractor shall take all necessary precautions to protect work of other trades. Damage, dirt or debris caused by the failure of a Subcontractor to maintain adequate protection may result in expenses charged to the responsible Subcontractor for repair or cleaning. Subcontractor shall maintain continuous cleanup of his work and remove his debris from the site. Failure to provide clean-up when directed by the Contractor may result in additional charges to the Subcontractor for clean-up services provided by the Contractor. 19. Subcontractor Acknowledgment: The Subcontractor acknowledges that it has conducted a full and independent inspection of the site and acknowledges that it has taken steps reasonably necessary to ascertain the nature and location of the work, and that it has investigated and satisfied itself as to the general and local conditions which can affect the work or its cost. The Subcontractor also acknowledges that it has satisfied itself as to the character, quality and quantity of surface and subsurface materials or obstacles 0 0 DAHLGREN Industrial, Inc. The Subcontractor warrants to the Owner and Dahlgren Industrial that the work, when completed, will comply fully with all Subcontract requirements and applicable building and safety codes, regulations and construction requirements imposed or enforced by any governmental agencies and in existence on the date of execution of this agreement, without regard to any errors, omissions or deficiencies in the drawings and specifications. Part B — Safety, Insurance and Environment 1. This Vendor shall include all costs for Workmen's Compensation, General Liability and Excess Liability Insurance, in compliance with the attached sample insurance form. Without an approved insurance certificate on file this Vendor will not be permitted to commence or continue to work on the site. Additionally, the Vendor will not receive payment without an approved insurance certificate in the possession of Dahlgren Industrial. It is the Vendor's responsibility to ensure the certificate is in place at all times. 2. This Vendor's insurance coverage also includes an additional two-year insurance extension beginning after Substantial Completion of the Project. This additional insurance is to provide coverage during the warranty phase of the Project. 3. This Vendor shall be responsible for daily inspection of all equipment prior to use and during operation. Training and maintenance (including record keeping) shall comply with federal, state and local legal requirements including: a. OSHA 29 CFR 1910, Subpart N — Material handling and Storage b. OSHA 29 CFR 1926, Subpart N — Cranes, Derricks, Hoists, Elevators and conveyors. c. All certifications and licenses shall be provided to Dahlgren Industrial at least three days before the work starts. 4. The Vendor shall furnish, install and maintain, during the execution of the Work, all ladders, hand tools, power tools and extension cords shall comply with all applicable safety regulations in a manner acceptable to Dahlgren Industrial. All tools shall be in compliance with OSHA 29 CFR 1926. Defective tools shall not be used. 5. This Vendor shall comply with OSHA 29 CFR 1926 occupational safety and health standards for the construction industry when doing construction work. a. Part 1926 shall take precedence when hazards are covered by both Part 1910 and Part 1926. b. Part 1910 shall be followed for hazards not covered by part 1926. 6. Electrical work shall be in compliance with federal state and local legal requirements including, but not limited to: a. OSHA 29 CFR 1910.331through 1910.335 and /or 1926.416 and 1926.417 for electrical safety related practices. b. OSHA 29 CFR 1910, Subpart S and / or 1926, Subpart K for electrical 0 DAHLGREN Industrial, Inc. All Vendors shall furnish and properly maintain their own fire extinguishers which will be subject to period inspections as may be required by the OSHA, local authorities and/or Dahlgren Industrial. 8. This Vendor understands that Safety Policies will be in effect and has included in the Price the applicable costs to comply. These Safety Policies include, but are not limited to: a. HARD HATS & SAFETY GLASSES MUST BE WORN AT ALL TIMES b. Confined Space Entry c. Electrical Lockout and Tag Out d. Fall Protection e. Fire watch f. Hazardous or Toxic Material Handling g. Excavation Hazards h. Hazard Communication Personal Protection Equipment j. Respiratory Protection k. Orientation Program I. Hexavalent Chromium 9. Dahlgren Industrial is committed to run all operations in a manner that is protective of human health and the environment. The Vendor shall be responsible to abide by requirements of Dahlgren Industrial. 10. The Vendor is responsible for any traffic control, including police details and/or barricades required for the complete execution of the Work. 11. The Vendor will comply with Dahlgren Industrial's Fall Protection Policy noted below: a. All individuals engaged in structural steel erection on Dahlgren Industrial projects must be protected from falling whenever exposed to a potential fall in excess of six (6) feet. This includes, but is not limited to, connectors, welders, and individuals bolting up and installing decking. b. Personnel engaged in quality assurance and/or engineering inspections/tests or any other work must be protected from falling whenever exposed to a potential fall in excess of six (6) feet. c. Acceptable fall protection includes, but is not limited to the use of nets, standard guardrails, floor hole covers, personal fall arrest systems consisting of a full body harness, lanyard, anchorage points and/or devices, retractable lifelines, etc. Every anchorage point and/or device must be capable of supporting 5,000 pounds for each individual that is simultaneously secured to it i.e. three (3) individuals are secured to one anchorage point, that anchorage must be capable of supporting 15,000 pounds. The use of "safety belts" in personal fall arrest systems is prohibited. DAHLGREN Industrial, Inc. The above policy MAY be superseded by Client, Vendor or individual project fall protection requirements that are more stringent. e. Prior to starting work on our projects, Vendors engaged in structural steel erection must meet with our project team to review the means and methods that will be used by the Vendor to comply with fall protection requirements. Part C — Schedule 1. Project Operating Schedule. The following working constraints will be required: a. General Construction Hours. 8 Hours, 5 Days. b. If the Vendor wishes to work Alternate Construction hours, he must have at least 24 Hours' notice prior written approval from Dahlgren Industrial Supervisor prior extending the General Construction Hours. 2. This Vendor shall be responsible for all costs of standby trades should this Vendor work other than normal working hours where applicable. 3. THIS VENDOR IS TO INCLUDE ANY AND ALL COSTS NECESSARY TO MEET THE SCHEDULE. ALL MANPOWER, EQUIPMENT, PREMIUM COSTS, ETC. AS REQUIRED ARE TO BE INCLUDED. 4. Unless specifically scheduled by Dahlgren Industrial, this Vendor agrees to provide continuous field labor under all circumstances until completion of its work. Accordingly, in the event the Union Agreements (if Union) covering its employees expire during the course of the Project, this Vendor will execute interim Union Agreement(s) or Project Union Agreement(s) so as not to disrupt its operation or that of other Vendors. Failure to effect the above within three (3) days after notice from Dahlgren Industrial will result in termination of this Vendor. 5. Should this Vendor fall behind schedule on his own behalf, this Vendor shall provide immediately, written notice to Dahlgren Industrial accompanied by a plan outlining this Vendors course of action to return to schedule. All additional overtime man-hours required to maintain the schedule shall be provided by this Vendor at no additional cost. Part D — Quality, Engineering, Coordination and Codes 1. Dahlgren Industrial will provide one (1) set of the contract documents via FTP site to this Vendor. Any additional copies will be provided at this. Vendor's expense. 2. The Vendor is hereby advised that the Scope of Work of this Subcontract / Purchase Order includes all of the work in Division One Specifications to the extent that these Project General Requirements are or may become applicable to the performance of this Vendor's Work. 3. This Vendor shall be completely and solely responsible for the performance of the components as well as the integrated assembly for items purchased and/or installed under this Agreement. 4. Do not use any substitute products that have not been approved in accordance with the requirements of the contract documents. Any materials that are used DAHLRREN Industrial, Inc. Substitutions are made at the Vendor's own risk. 5. Product Options: It is this Vendor's responsibility to provide products, which comply with the contract documents and which are compatible with one another, with existing work, and with products selected by others; a. Verify that the proposed characteristics of products are compatible with specified systems; notify Dahlgren Industrial of all discrepancies. b. Where visual matching to an established physical sample is required, the Architect, Dahlgren Industrial and Owner's decision will be final. 6. Where the specification is silent on whether substitutions will be considered, substitutions will not be considered. 7. Product Options: Where products are specified using more than one method, such as description with manufacturer list, use a product meeting the requirements of both specification methods. Where an approved manufacture does not meet the specifications, provide only equipment at materials meeting the specifications and furnished by an approved manufacture. 8. Submittals are to be submitted to Dahlgren Industrial as follows: a. Shop Drawings — One (1) print and one (1) electronic b. Catalog Cuts, Brochures, etc. - One (1) print and one (1) electronic c. Samples - Four (4) of each type. 9. This Vendor shall provide all submittals as required by the specifications, including but not limited to product data, and shop drawings. Schedule of submissions shall be provided to Dahlgren Industrial within five (5) days of Notice of Award. If multiple suppliers are to be utilized, submittals will be required from each supplier. 10. This Vendor is aware of local building codes and has provided for all applicable codes and Code Enforcement Department requirements. 11. Regulatory Requirements: a. Obtain copies of all the latest editions of the following regulations that are applicable to this Project: 1. State Building Codes b. Other regulations may also be applicable. c. Obtain copies of all regulations pertaining to your scope and keep at the Project site for the use of all parties. d. Submit copies of all permits, licenses and similar permissions obtained and receipts for fees paid, to Dahlgren Industrial directly. 12. Unless specifically stated otherwise (see PART I — Scope Requirements), where material and/or equipment is to be furnished and/or installed by this Vendor, this Vendor shall be totally responsible for scheduling the delivery, receiving, unloading, inspecting, inventorying, storing, handling, relocating, hoisting, DAHLGREN Industrial, inc. PROJECT: Northwest Ironworkers Trust Tukwila Roofing Remodel REFERENCE: ROOFING BID PACKAGE NO.: 624 / 07400.2 EXHIBIT A - SPECIFIC CONDITIONS & SCOPE OF WORK May 02, 2017 Page 10 of 16 distributing, laying out, installing, cleaning and protection of said material and/or equipment. For any equipment/material received by this Vendor which is misplaced, lost or damaged, it will be this Vendor's responsibility to replace said equipment/materials at no cost or schedule impact to the Owner and Dahlgren Industrial. Furthermore, the Vendor shall be responsible for any testing, cleaning and/or passivation required of said equipment. 13. This Vendor shall provide within ten (10) working days of a request by Dahlgren Industrial, any and all scheduling information, including but not limited to equipment lead times, field durations, manpower loading, etc., required for each activity of this work. The following management reports will be prepared and maintained by the Vendor throughout the project. NOTE: The Vendor will forward same on a bi-monthly basis and/or however frequently requested by Dahlgren Industrial in P3 format. a. Manpower and Cost loaded project schedule. b. Material expediting report. c. Submittal schedule and status report. 14. In addition, as directed by Dahlgren Industrial, this Vendor will place equipment and material orders and store same off-site, in order to insure timely completion of the Project. 15. This Vendor shall include all engineering and layout required for this scope of work from the axis lines and benchmark elevations and monuments established by design documents and furnished by survey firm contracted by Dahlgren Industrial. 16. All field measurements and verification necessary to complete the work of this Agreement are included in the Agreement Price. 17. If any work is installed before coordinating with all other affected Trades, or as to cause interference with work of other Trades, the necessary changes to correct the condition shall be made by the contractor causing the interference. Any costs associated with these corrections to work shall be born by that vendor. 18. This Vendor shall protect the work of others from damage due to this Vendor's operations. Any damages will be the responsibility of this Vendor. 19. Repair existing work disturbed as a result of the completion of the work of this Agreement. 20. All penetrations required by the Vendor including coring, sleeving, caulking, sealing, patching, waterproofing, firestopping and firesafing of penetrations through walls, floors and roofs are this Vendors responsibility. Sleeves through rated and non -rated gypsum board and masonry partitions shall also be included. Furnishing and installing sleeves and cutting metal decks for sleeves through slabs and roofs shall also be included. Watertight details should be in accordance with the Project Documents. Furthermore, the Vendor shall provide drawings detailing the locations for all penetrations through slabs, walls, roofs and foundation walls prior to concrete pours and roof installation. DAHLGREN Industrial, Inc. PROJECT: Northwest Ironworkers Trust Tukwila Roofing Remodel REFERENCE: ROOFING BID PACKAGE NO.: 624 / 07400.2 EXHIBIT A - SPECIFIC CONDITIONS & SCOPE OF WORK May 02, 2017 Page 11 of 16 21. This Vendor is responsible for the patching of any hole left by this Vendor's scope of work including the removal of existing items. 22. In the event that any of the Vendor's Materials receive primed or finished painting, the Vendor shall be required to provide all touch-up paint and touch-up painting to properly touch-up any scratches and/or abrasions to these materials that occurred as a result of the Vendor's delivering, handling, hoisting, welding and installation of said materials. 23. This Vendor shall include all "comeback" costs associated with construction, which may be performed out of sequence, or at a later date prior to completion of this Agreement at no additional cost compensation shall be approved. 24. When and as requested by Dahlgren Industrial, this Vendor shall furnish materials to the Owner or their representatives required for testing. 25. This Vendor shall work with and comply with all valid directives of the testing and inspection agency, engineers, etc. 26. In cases where on-site testing is performed by others, any re -testing required as a result of this Vendor's work not being in conformance with the Project Documents, shall be done at the expense of the Vendor. 27. The Owner or their Agent and/or Dahlgren Industrial shall have the right to visit the premises of the Vendor or his subcontractors and to inspect, at the Owner's, Owner's Agent, and/or Dahlgren Industrial's option, all equipment in process of manufacture on their order with regard to material, design, quality of workmanship and progress of the work. The Vendor shall supply the Inspecting Agent with all assistance practicable, including drawings and other documents, as well as a guide who is familiar with the work in progress. The above is subject only to pre -notification of the Owner or their Agent, and/or Dahlgren Industrial. 28. Dahlgren Industrial, Owner and the project consultants shall perform inspections in accordance with the Project Specifications; this Vendor must cooperate fully with this inspection, and ensure that all testing and inspection requirements are satisfied. Any unacceptable work must be repaired and/or replaced at Vendor's sole cost to meet the criteria of the Contract Documents. All costs associated with unacceptable work will be the responsibility of this Vendor including, but not limited to, repairs, replacement, additional testing and inspections, etc. 29. Provide final as-builts, warranties, guarantees, part lists, owner manuals, maintenance guides, instruction manuals, user manuals, etc. for equipment provided and as required by the Contract Documents. Six (6) copies of O&M manuals shall be submitted as they become available but no later than the final completion date of the project. 30. Warranty periods commence on the date of the Project completion. Furthermore, the Vendor shall service and maintain equipment and components installed under its Agreement between the period commencing with the start-up of said equipment and components and the date of the Project Completion. On, or just prior to the date of the Project completion, the Vendor shall refurbish and return the respective equipment to "Like New" condition. Upon completion of the above, DAHLGREN Industrial, Inc. PROJECT: Northwest Ironworkers Trust Tukwila Roofing Remodel REFERENCE: ROOFING BID PACKAGE NO.: 624 / 07400.2 EXHIBIT A - SPECIFIC CONDITIONS & SCOPE OF WORK May 02, 2017 Page 12 of 16 the equipment shall be turned over to the Owner and the specified warranty periods shall begin. 31. On-site start-up and commissioning services, supervision and training of Owner's personnel for all the work specified and as required including all transportation, lodging, per diems, taxes, insurance, overhead, profit, burden, and expenses. Start-up services shall be coordinated with Dahlgren Industrial's duly authorized representative(s). For Vendors of systems with mechanical and/or electrical components: The Commissioning Program shall be a system created to inspect, test and demonstrate compliance with the specifications and contract documents, operational functionality of the systems and equipment, and to demonstrate capacity and performance characteristics of equipment and systems. The Vendor shall prepare a Commissioning Program and manuals for their work. Where possible, Commissioning manuals shall incorporate portions of the Manufacturers start up, light off or installation checklists for equipment installed by this Vendor (whether or not purchased by this Vendor). The Vendor shall supplement Manufacturer's checklists with additional listings and performance characteristics of the system. Operational individual equipment shall be demonstrated to work as it is indicated in its system. Commissioning manuals shall contain preprinted forms and checklists arranged for the orderly review of the materials, equipment, and system installation. There shall be locations on the checklist for the Technician to initial and date. A location on the forms shall be provided for the acceptance of the test data by the Client and a witness. The Vendor shall provide or engage personnel experienced in commissioning and testing procedures. Test, Adjust and Balancing work, as may be specified elsewhere, shall be conducted separately from the commissioning activities. 32. Factory sealing of any openings on equipment/materials being provided. Furthermore, proper and sufficient packaging and protection shall be included for all components prior to, and during shipment. This also includes packaging and protection as required to prevent damage from dust, dirt, roadway dirt, salt and grime, and moisture. 33. UL labeling/approval of all components and assemblies, in order to satisfy all applicable NEC, NEMA, State, Local and any other electrical codes and standards. 34. All grout and grouting as required to complete the work of this Vendor. 35. In cases where the work of this Vendor penetrates the special coatings on the Building's walls, floors and ceilings, this Vendor shall include the costs for any special penetration provisions and/or patching/touch-up/repair of special coatings. 36. Include provisions for vibration isolation and expansion compensation as required and/or specified. 37. Prior to purchasing major pieces of equipment, the Owner reserves the right to require the Vendor to reveal pricing from all specified vendors, in order to allow DAHLGREN industrial, Inc. PROJECT: Northwest Ironworkers Trust Tukwila Roofing Remodel REFERENCE: ROOFING BID PACKAGE NO.: 624 / 07400.2 EXHIBIT A - SPECIFIC CONDITIONS & SCOPE OF WORK May 02, 2017 Page 13 of 16 the Owner the option of selecting a preferred Vendor. 38. Include spare parts/spare stock pricing and requirements as specified. Part E — Deviation System 1. This Vendor understands and accepts the possible consequences of the Dahlgren Industrial Deviation Procedure for Quality Issues. This Vendor's Monthly Requests for Payment may be reduced by a fair financial sum that may be indicated on the Deviation Ticket until such time as the Deviation is rectified by this Vendor to the satisfaction of Dahlgren Industrial and the Owner. Part F — Other Project Specific Terms and Requirements 1. The Vendor agrees that it is responsible for submitting accurate cost and pricing data to support its proposals for change orders and/or other Subcontract Price adjustments. The Vendor further agrees that it will certify that to the best of his/her knowledge and belief, the cost and pricing data submitted is accurate, complete, current and in accordance with the terms of this Agreement with respect to pricing of change orders. The Vendor further represents that he/she has made reasonable good faith inquires to appropriate individuals within his/her organization to confirm that the data submitted is accurate, complete and current. 2. During the term of the Vendor's Agreement and for a period of three (3) years after acceptance of the Work and Final Payment, or longer if required by the Laws, the Owner and/or the Dahlgren Industrial and its duly authorized representatives shall be afforded access to all of the Vendor's Project file including books, records, correspondence, instructions, drawings, receipts, vouchers, memoranda, subcontracts, purchase contracts and the like, relating to the Subcontract and the Work. The Vendor shall preserve all such records for the three (3) year period, or longer if required by the Laws. The Vendor shall provide the Owner and/or Dahlgren Industrial and its duly authorized representatives access to its facilities, access to all necessary records, and shall provide adequate and appropriate work space in order to conduct audits. The above stated requirements will also apply to all sub -Vendors, material suppliers, insurance agents, etc., of the Vendor. The Vendor agrees to cooperate fully and will cause all related parties to cooperate fully in furnishing or in the making available to the Owner and/or Dahlgren Industrial from time to time whenever requested in an expeditious manner any and all such information, materials, and data. All audits shall be undertaken at reasonable times and in conformance with generally accepted auditing standards and shall be in accordance with the Owner's Contract. 3. All rates, unit prices and alternates set forth herein are firm throughout the duration of the Project, unless otherwise noted. 4. The labor rates unit prices and alternates proposed by this Vendor for changes DAN .NEN Industrial, Inc. It will be the responsibility of every Vendor to provide on a monthly basis, the PARTIAL UNCONDITIONAL WAIVER OF LIEN AND CLAIMS for the preceding month's payment issued. If applicable and requested by Dahlgren Industrial or the Owner, this Vendor may also be required to provide a Waiver of Lien for a second and/or third Tier Vendor or Supplier. This Vendor is required to continuously maintain record drawings while on the Project site and shall also, during the progress of the Work, keep a careful record of all changes, modifications or deviations from approved drawings by way of As- Builts. Furthermore, progress payments shall be tied to this Vendor providing evidence that its As-Builts are up to date on a monthly basis and that no retainage shall be released until final As-Builts are submitted and accepted. 8. Dahlgren Industrial will not accept responsibility for the care, custody and control of material between the time of installation by Vendor and acceptance by the Owner. 44 . .. I I I b. This list is not meant to be all-inclusive. In general, harassment will be defined as any behavior or conduct which undermines employees' morale, interferes with relations, or undercuts an employee's ability to work effectively. This type of intolerable conduct shall not be limited to the Project Site or working hours only. Retaliating in any way against employees who report harassment is unacceptable. In the event any employee of the Vendor is accused of harassment the Vendor agrees to remove the employee from the Project Site. PAYMENT TERMS Payment terms shall be as follows: a. All invoices are to be submitted on the attached Pay Request Form, Exhibit "C". b. Partial and Final Lien Releases will be required as a condition for progress and final payments c. Submit Lien Releases on the form identified as Subcontract Exhibit "D" d. Subcontractor's monthly progress billing shall be supported by all documentation required for Contractor's project manager to audit and approve invoices. e. Invoices shall be submitted to the Contractor's office no later than the 20th of the month in order for invoice amounts to be incorporated into the Contractor's Application for Payment. Invoices are to be submitted to accountingadahlgrenindustrial.com Pay Requests submitted later than the 20th and not incorporated into the Contractor's Application for Payment will be considered for payment in the following month. Vendor acknowledges that they will request in writing any required utility shutdowns at least a minimum of seven (7) days in advance. 14. Vendor agrees that any Owner furnished property is provided "as -is, where -is" and without any warranty or fitness for use or merchantability or any other warranty of any kind (whether express or implied), and be liable for shortages, loss, damages or destruction to same and promptly report any occurrences. 15. APPLICATION METHOD / TOOLS Bareback: Sarnacol 2170 VC is roller -applied to both the membrane and the substrate in the following manner. Apply Sarnacol 2170 VC to the substrate and allow to dry. After the substrate adhesive has dried completely, apply Sarnacol 2170 VC to the back side of the membrane, and allow to become tacky (producing strings) when touched with a dry finger. The Sarnacol 2170 VC on the membrane shall not be permitted to dry completely. The membrane is then placed on the substrate (mating adhesive surfaces). The bonded sheet shall be pressed firmly in place with a minimum 100 lb (45 kg) steel, membrane roller, by rolling in two directions (vertical flashings are hand -rolled). Surfaces must be sound, clean, dry, frost -free, and free of oil and grease, Residues and any other foreign matter must be thoroughly removed. If rust is present on the penetration it must be wire brushed down to clean metal. A roughened surface will enhance the bond. APPLICATION METHOD / TOOLS The recommended application temperature for Sikaflex-la is between 40°F (4°C) and 100°F (38°C). For cold weather applications, condition cartridges at approximately 70°F (21°C) and maintain that temperature until just prior to use.
