BILL OF SALE
KNOW ALL MEN BY THESE PRESENTS, That for valuable
consideration, Southcenter Investors, a joint venture
the Grantor, does hereby grant, bargain, convey and sell to the
CITY OF TUKWILA, King County, Washington, a municipal corpora-
tion, the Grantee, the following described improvements situa-
ted in King County, Washington, and located within the easement
right-of-way described on Exhibit A hereto as follows:
Baker Boulevard between Andover Park West and Christensen Road.
Christensen Road from 500 feet north of the centerline of Baker Boulevard
to 310 feet south of the centerline of Baker Boulevard.
Together with any other appurtenances thereto.
To have and to hold the same to the said Grantee, its
successors and assigns forever.
The undersigned hereby covenants that it is the lawful
owner of said property; that the same is free frorn all encumbrances;
that all bills for labor and material have been paid; that it has
the right to sell the same as aforesaid; that it will warrant and
defend the same against the lawful claims and demand of. all
persons and will pay any costs, including reasonable attorney's
fees incurred by Grantee, arising out of any such claim or demand.
The Bill of Sale is given in consideration of the
agreement of the Grantee, for itself, its successors and assigns
to incorporate said utilities in its utility system and to main -
CD tain them as provided in the applicable City Ordinances.

This Bill of Sale is given and accepted pursuant to a
CD motion duly made, seconded and passed by the City Council of the
