TE114PORARY LICENSE AGREEMENT THIS AGREEMENT is entered into as of this jSl day of a 1979, by and between M PROPERTIES hereinafter called "K M"), a Washington Tenancy in Common, and TRI -WAY INDUSTRIES, INC. (hereinafter called "Tri- Way a Washington corporation. i r RECITALS: The parties enter this Agreement on the basis of the following facts, intentions and understandings: 1. Tri -Way occupies the building located on the premises at 600 Andover Park East, Tukwila, Washington which is situated near the building located on the premises at 455 Andover Park East, Tukwila, Washington, owned by K M. 2. Tri -IVay now desires to use certain parking spaces .on the premises at 455 Andover,Park East, Tukwila, Washing- ton, and to enter into this License Agreement with K.& M. Said parking spaces are more particularly identified on Exhibit A attached hereto and incorporated by reference thereto (herewith called "Parking Spaces N0W, THEREFORE, in consideration of all the covenants and promises herein, K M and Tri -Way agree as follows 1. Temporary Entry: Tri -Way employees may enter the parking lot at Tri -Way's sole risk for employee parking pro- vided that such entry shall not interfere with K 114 tenants or other K M activities on the,parking lot, and provided that Tri -IVay slial l not make use the parking lot other than for employee automobile parking in those spaces identified in Exhibit A hertato. �i 2. Parking Spaces: Tri-Way shall occupy only the ten (10) spaces at the west end of the parking lot as further identified on Exhibit A. 3. License Fee: In consideration of this License Agreement, which may be cancelled at any time by K M or K &,M's agent with or without notice to Tri-Way, with charges pro-rated on a daily basis, Tri-Way shall. pay One Hundred Twenty Dollars ($120.00) per 30-day month, in advance on the first day each month to K M Properties (c/o Cabot, Cabot Forbes, 1003 Andover Park East, Tukwil.a, WA 98188), such payment to accompany delivery of this signed Agreement, and the time period starting May 28, 1979. 4. Indemnity: Tri-Way hereby agrees to indemnify and forever save K M, the property containing the Parking Spaces, and. K M's agents, employees, representatives, or other.s,if any, free and harmless from and against, without limitation: (a) Any and all liens, liabilities, penalties losses, damages, costs and expenses, demands, actions, causes of action, claims or judgments foreseen or unfore- seen arising from or growing out of any injury or injuries to any person or persons or any accident or other occurrence during the Licensed Period occasioned by any act or acts, omission or omissions of K M, its officers, employees, agents, servants, subtenants, concessionaires, licensees, contractors, invitees or permitees or arising from or growing out of tlil- use, maintenance, occupation or opera- tion of Parking Spaces by Tri-Way.
