Agent is hereby designated as the exclusive agent and representative of Owner for the purpose of managing for Owner's account the following
described property:
That portion of Lot 6 of Andover Industrial Park No. 3 as per plat recorded in Volume 78
of Plats on pages 6 7, records of King County, Washington, lying south of a line
which is 185 feet as measured southerly of and perpendicular to the North line of said
Lot 6, situate in City of Tukwila, County of King, State of Washington.
RESPONSIBILITIES OF AGENT
1. It is agreed that the authorities, duties and responsibilities of Agent in connection with the management of said property shall be as follows:
(a) Agent shall take all reasonable steps to collect, and enforce the collection of, all rentals and other charges due Owner from tenants of

the property in accordance with the terms of their tenancies.
(b) From gross collections, Agent shall pay all loan payments, all operating expenses and other authorized expenses of the property
except as provided under paragraph 4 hereof. In the event Owner elects to have any payments made in a manner other than as herein provided,
Owner shall so notify Agent in writing.
(c) Agent shall do everything reasonably necessary for the proper management of the property. This includes conducting periodic inspec-
tions, supervision of maintenance and arranging for such improvements, alterations and repairs as may be required of Owner. No single improvement,
alteration or repair costing more than FIVE HUNDRED N0 /100 is 500.00 Dollars shall
be made by Agent without Owner's prior authorization. However, in case of an emergency which requires immediate repairs or alterations, if Owner
is not readily available for consultation, Agent shall use it's discretion regarding same.
(d) Agent shall have the authority and exclusive right to negotiate leases and month -to -month tenancies with existing and prospective

tenants upon terms approved by Owner. All leases shall be signed by Owner, except for month- to•month residential tenancies in which case Agent or
designated employees of Owner shall be authorized to sign for Owner.
(e) Agent shall have authority to hire, supervise and terminate on behalf of Owner all independent contractors if

(f) Agent shall handle all tenant requests and negotiations on behalf of Owner and shall use all reasonable efforts to assure compliance by
tenants with the provisions of their leases.
(g) Agent is not authorized to practice law. Where legal assistance is needed for such matters including but not limited to enforcing the
collection of rent or eviction of a tenant, legal assistance shall be obtained through counsel designated or approved by Owner and legal action under.

taken shall be in Owner's name only. All such legal expenses, including that of counsel, shall be borne by Owner.
(h) Agent shall maintain accurate records of all funds received and disbursed in connection with it's management of the property and said

records shall be open for inspection by Owner at all reasonable times.
(i) After deducting all authorized expenses and reserves from the gross collections from the property the net amount of all funds collected
for Owner's account Shull be remitted monthly by Agent to Owner at the address specified herein or as Owner may otherwise direct in writing. Agent

shall also render to Owner a statement showing all receipts and disbursements for the month reported, together with supporting vouchers./
(j) Agent shall cooperate with and assist appraisers or counsel retained by Owner to evaluate the property or to appeal assessed values

but shall not be responsible for such undertakings.

RESPONSIBILITIES OF OWNER
2. In consideration of the property management services to be rendered by Agent under this Agreement, Owner agrees as follows:
(a) Owner shall promptly furnish Agent with all documents and records required for the management of the property, including but not
limited to all leases, amendments and pertinent correspondence relating thereto; the status of rental payments; mortgage loan information and pay-
ment instructions; copies of service contracts in effect; and all applicable insurance policies which are carried by Owner from time to time during the
term of this Agreement and the endorsements called for herein.
(b) Owner shall at all times maintain sufficient funds in the property trust account to enable Agent to pay all obligations of the property in
a timely manner. In instances where collections are projected to be insufficient or will not be received in time to satisfy this requirement Owner shall
promptly provide Agent with the necessary funds, in advance, upon notification by Agent.
Agent shall not be required to advance funds for Owner's account. However, should Agent make a payment for Owner's account and
should a deficit occur therein, upon notification by Agent the Owner shall forthwith remit to Agent sufficient funds to remove the deficit.
(c) Owner shall pay Agent for its property management servicessat

percent of gross monthly collections from the property including deposits and collections made for Owner's account directly by Owner or others des-
ignated by Owner. This amount shall be paid to Agent monthly and shall each month be deducted by Agent from gross monthly collections.
(d) For negotiating term leases and month-to-month tenancy agreements with tenants Owner shall pay Agent upon the execution of such
