Recitals A. The parties are considering a potential business relationship with each other (the "Potential Business Relationship'). B. As part of their consideration, each party ("Recipient") may receive or have access to information of a sensitive or confidential nature about the other party ('Discloser). C. The parties wish to enter into this Agreement to protect the confidentiality of such sensitive or confidential information. The parties therefore agree to the following terms and conditions. Terms and Conditions 1. Duty of Confidentiality. Discloser may disclose to Recipient, or Recipient may otherwise receive access to, Confidential Information (as defined below). Recipient may use the Confidential information solely to evatuate or carry out the Potential Business Relationship and for no other purpose. Recipient agrees to hold the Confidential Information in the strictest confidence. Recipient must protect the Confidential Information from unauthorized use, access or disclosure using at least the same degree of care Recipient uses to protect its own most sensitive information, but no Tess than a commercially reasonable degree of care. Recipient will not disclose any Confidential Information to any third parties except to Recipient's officers, directors, employees, affiliates, professional advisors (i.e. attomeys and accountants), or to such others as necessary to further the Potential Business Relationship, and only on a need -to -know basis. Recipient will be liable for any violations of this Agreement by any such third party. 2. Confidential information. As used in this Agreement, 'Confidential Information' means all non-public, proprietary or confidential information or trade secrets regarding Discloser's prior, existing or proposed business, activities, experiences, investments, services, products, systems, procedures, safeguards, employees, members, and facilities. Confidential Information includes, without limitation, (a) financial information, budgets, business results, business volumes, pricing, strategic plans and forecasts, (b) audit and examination information, including findings, ratings, enforcement actions and reports, (c) contracts, vendors, practices, policies and procedures, (d) member names or information, employee names or information, or 'NPPI' as defined below, (e) technical data, know-how, formulas, pattems, computer programs and software (including object and source code), compilations, reports, methods, strategies, plans, documents, drawings, designs, tools, models, inventions, patent disclosures, and requests for proposals, and (f) any other information if it would be apparent to a reasonable person that such information is of a confidential or proprietary nature. Confidential information may be in oral, visual, written, electronic or other tangible or intangible form, whether or not marked or designated as "confidential," and includes all notes, analyses, summaries and other materials Recipient prepares that contain, are based upon or otherwise reflect any of the foregoing. Confidential Information excludes information that (i) is or becomes generally available to the public other than as a result of Recipient's breach of this Agreement; (ii) Redplent obtained on a non -confidential basis from a third -party who was not legally or contractually restricted from disclosing such information; (ai) was in Recipients possession prior to Discloser's disclosure; or (iv) was or is independently developed by Recipient without using any Confidential Information. Notwithstanding, NPPI is always 'Confidential Information,' even if it would otherwise be excluded by the preceding sentence. 3. NPPI. As used in this Agreement, "NPPI' means personal or financial information regarding Discloser's former, current or prospective members or employees, including "nonpublic personal information' as defined in the Gramm - Leach -Bliley Act of 1999 and its implementing regulations. If Recipient receives any NPPI, Recipient agrees that it will (a) not use that NPPI except to the extent necessary to evaluate or carry out the Potential Business Relationship, (b) not disclose that NPPI to any third party without Discloser's prior written consent, (c) employ administrative, technical and physical safeguards (including reasonable disposal measures) to prevent unauthorized use or disclosure of NPPI, (d) promptly provide Discloser upon request information about Recipient's privacy and information security systems, policies and procedures, and (e) obtain Discloser's prior written approval for any material change to Recipient's administrative, technical and physical safeguards with respect to NPPI. If any third party will be permitted to access NPPI, Recipient will enter into a written agreement with that third party requiring safeguarding of NPPI in a manner no Tess restrictive than Recipient's obligations under this Agreement. Recipient's obligations with respect to NPPI are in addition to, and not in lieu of, its obligations with respect to Confidential Information. 4, Compulsory Disclosure. Neither party has any obligation under this Agreement to disclose any Confidential Information to the other. If Recipient is required by judicial or administrative process to disclose any Confidential Information, Recipient will notify Discloser in a timely manner (unless otherwise prohibited by law) so that Discloser may seek, at its expense, a protective order or other remedy. If Recipient remains legally compelled to make such disclosure, Recipient agrees to (a) disclose only that portion of the Confidential Information that Recipient is required to disclose; and (b) use reasonable efforts to ensure that such Confidential information is afforded confidential treatment. Discloser will have no liability to Recipient o, to any other person relating to Recipient's use ofthe Confidential Information. 8. Ownership. Term of Agreement. This Agreement will continue for five years from the later of(o) the Effective Date, or (b) the date Recipient nolonger possesses any nfDisdosor'yConfidential Information. For Confidential Information that ina trade secret under the laws of any jurisdiction, this Agreement will survive until, if ever, such Confidential Information loses its trade secret protection other than due to an act o,omission by Recipient. For NPP|. Recipient's obligations under this Agreement will continue indefinitely. 10. Remedies. Recipient agrees that any breach of this Agreement MI cause injury and irreparable harm to Discloser for which money damages would be an inadequate remedy. In addition to remedies atlaw, Discloser will be entitled to equitable relief as uremedy for any such breach. Recipient waives any claim ordefense that Discloser may have an adequate remedy at law in any such proceeding. Nothing in this Agreement limits the remedies available to Discloser. 11 Governing Law and Venue.
