CONSULTANT AGREEMENT FOR
BUILDING ENVELOPE CONSULTING SERVICES
THIS AGREEMENT is entered into between the City of Tukwila, Washington, hereinafter
referred to as "the City", and Wetherholt & Associates, Inc, hereinafter referred to as "the Consultant",
in consideration of the mutual benefits, terms, and conditions hereinafter specified.
1. Project Designation. The Consultant is retained by the City to perform Building Envelope
Consulting services in connection with the project titled Tukwila Public Works Maintenance &
Engineering Building Project.
2. Scope of Services. The Consultant agrees to perform the services, identified on Exhibit "A"
attached hereto, including the provision of all labor, materials, equipment and supplies.
Consultant shall perform the services with the degree of skill and care ordinarily exercised by
members of the same profession currently practicing under similar circumstances at the same
time and in the same or similar locality.
3. Duration of Agreement; Time for Performance. This Agreement shall be in full force and
effect for a period commencing upon execution and ending December 31, 2026, unless sooner
terminated under the provisions hereinafter specified. Work under this Agreement shall
commence upon written notice by the City to the Consultant to proceed. The Consultant shall
perform all services and provide all work product required pursuant to this Agreement no later
than December 31, 2026, unless an extension of such time is granted in writing by the City.
4. Payment. The Consultant shall be paid by the City for completed work and for services
rendered under this Agreement as follows:
A. Payment for the work provided by the Consultant shall be made as provided on Exhibit
"A" attached hereto, provided that the total amount of payment to the Consultant shall not
exceed $69,800 without express written modification of the Agreement signed by the City.
B. The Consultant may submit vouchers to the City once per month during the progress of
the work for partial payment for that portion of the project completed to date. Such
vouchers will be checked by the City and, upon approval thereof, payment shall be made
to the Consultant in the amount approved.
C. Final payment of any balance due the Consultant of the total contract price earned will be
made promptly upon its ascertainment and verification by the City after the completion of
the work under this Agreement and its acceptance by the City.
D. Payment as provided in this section shall be full compensation for work performed,
services rendered, and for all materials, supplies, equipment and incidentals necessary to
complete the work.
E. The Consultant's records and accounts pertaining to this Agreement are to be kept
available for inspection by representatives of the City and the state of Washington for a
period of three (3) years after final payments. Copies shall be made available upon
request.

5. Ownership and Use of Documents. Upon payment in full, all documents, drawings,
specifications and other materials produced by the Consultant in connection with the services
rendered under this Agreement shall be the property of the City whether the project for which
they are made is executed or not, excluding Consultant's standard details, schedules, and
specifications. The Consultant shall be permitted to retain copies, including reproducible
copies, of drawings and specifications for information, reference and use in connection with
the Consultant's endeavors. The Consultant shall not be responsible for any use of the said
documents, drawings, specifications or other materials by the City on any project other than
the project specified in this Agreement.
6. Compliance with Laws. The Consultant shall, in performing the services contemplated by
this Agreement, faithfully observe and comply with all federal, state, and local laws, ordinances
and regulations, applicable to the services rendered under this Agreement.
7. Indemnification. To the extent allowed by RCW 4.24.115, the Consultant shall defend,
indemnify and hold the City, its officers, officials, employees and volunteers harmless from
claims, injuries, damages, losses or suits including reasonable attorney fees, only to the extent
caused by the intentional misconduct or negligent acts, errors or omissions of the Consultant
in performance of this Agreement, except for injuries and damages caused by the sole
negligence of the City.
Should a court of competent jurisdiction determine that this Agreement is subject to RCW
4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or
damages to property caused by or resulting from the concurrent negligence of the Consultant
and the City, its officers, officials, employees, and volunteers, the Consultant's liability
hereunder shall be only to the extent of the Consultant's negligence. It is further specifically
and expressly understood that the indemnification provided herein constitutes the Consultant's
waiver of immunity under Industrial Insurance, Title 51 RCW, solely for the purposes of this
indemnification. This waiver has been mutually negotiated by the parties. The provisions of
this section shall survive the expiration or termination of this Agreement.
8. Insurance. The Consultant shall procure and maintain for the duration of the Agreement,
insurance against claims for injuries to persons or damage to property caused in whole or in
part from or in connection with the performance of the work hereunder by the Consultant, its
agents, representatives, or employees. Consultant's maintenance of insurance as required by
the agreement shall not be construed to limit the liability of the Consultant to the coverage
provided by such insurance, or otherwise limit the City's recourse to any remedy available at
law or in equity.
A. Minimum Amounts and Scope of Insurance. Consultant shall obtain insurance of the
types and with the limits described below:
1. Automobile Liability insurance with a minimum combined single limit for bodily injury
and property damage of $1,000,000 per accident. Automobile Liability insurance
shall cover all owned, non -owned, hired and leased vehicles. Coverage shall be
written on Insurance Services Office (ISO) form CA 00 01 or a substitute form
providing equivalent liability coverage. If necessary, the policy shall be endorsed to
provide contractual liability coverage.
2. Commercial General Liability insurance with limits no less than $2,000,000 each
occurrence, $2,000,000 general aggregate. Commercial General Liability
insurance shall be at least as broad as ISO occurrence form CG 00 01 and shall
cover liability caused in whole or in part from premises, operations, stop -gap
independent contractors and personal injury and advertising injury. The City shall
be named as an additional insured under the Consultant's Commercial General
Liability insurance policy with respect to the work performed for the City using an
additional insured endorsement at least as broad as ISO endorsement form CG
20 26.

3. Workers' Compensation coverage as required by the Industrial Insurance laws of
the State of Washington.
4. Professional Liability with limits no less than $2,000,000 per claim and $2,000,000
policy aggregate limit. Professional Liability insurance shall be appropriate to the
Consultant's profession.
B. Public Entity Full Availability of Contractor Limits. If the Contractor maintains higher
insurance limits than the minimums shown above, the Public Entity shall be insured for the
full available limits of Commercial General and Excess or Umbrella liability maintained by
the Contractor, irrespective of whether such limits maintained by the Contractor are greater
than those required by this Contract or whether any certificate of insurance furnished to
the Public Entity evidences limits of liability lower than those maintained by the Contractor.
C. Other Insurance Provision. The Consultant's Automobile Liability and Commercial
General Liability insurance policies are to contain, or be endorsed to contain that they shall
be primary insurance with respect to the City. Any Insurance, self-insurance, or insurance
pool coverage maintained by the City shall be excess of the Consultant's insurance and
shall not be contributed or combined with it.
D. Acceptability of Insurers. Insurance is to be placed with insurers with a current A.M.
Best rating of not less than A:VII.
E. Verification of Coverage. Consultant shall furnish the City with original certificates and a
copy of the amendatory endorsements, including but not necessarily limited to the
additional insured endorsement, evidencing the insurance requirements of the Contractor
before commencement of the work. Upon request by the City, the Consultant shall furnish
certified copies of all required insurance policies, including endorsements, required in this
Agreement and evidence of all subcontractors' coverage.
F. Notice of Cancellation. The Consultant shall provide the City with written notice of any
policy cancellation, within two business days of their receipt of such notice.
G. Failure to Maintain Insurance. Failure on the part of the Consultant to maintain the
insurance as required shall constitute a material breach of contract, upon which the City
may, after giving five business days notice to the Consultant to correct the breach,
immediately terminate the contract or, at its discretion, procure or renew such insurance
and pay any and all premiums in connection therewith, with any sums so expended to be
repaid to the City on demand, or at the sole discretion of the City, offset against funds due
the Consultant from the City.
9. Independent Contractor. The Consultant and the City agree that the Consultant is an
independent contractor with respect to the services provided pursuant to this Agreement.
Nothing in this Agreement shall be considered to create the relationship of employer and
employee between the parties hereto. Neither the Consultant nor any employee of the
Consultant shall be entitled to any benefits accorded City employees by virtue of the services
provided under this Agreement. The City shall not be responsible for withholding or otherwise
deducting federal income tax or social security or for contributing to the state industrial
insurance program, otherwise assuming the duties of an employer with respect to the
Consultant, or any employee of the Consultant.
10. Covenant Against Contingent Fees. The Consultant warrants that he has not employed or
retained any company or person, other than a bonafide employee working solely for the
Consultant, to solicit or secure this contract, and that he has not paid or agreed to pay any
company or person, other than a bonafide employee working solely for the Consultant, any
fee, commission, percentage, brokerage fee, gifts, or any other consideration contingent upon
or resulting from the award or making of this contract. For breach or violation of this warrant,
the City shall have the right to annul this contract without liability, or in its discretion to deduct

from the contract price or consideration, or otherwise recover, the full amount of such fee,
commission, percentage, brokerage fee, gift, or contingent fee.
11. Discrimination Prohibited. Contractor, with regard to the work performed by it under this
Agreement, will not discriminate on the grounds of race, religion, creed, color, national origin,
age, veteran status, sex, sexual orientation, gender identity, marital status, political affiliation,
the presence of any disability, or any other protected class status under state or federal law,
in the selection and retention of employees or procurement of materials or supplies.
12. Assignment. The Consultant shall not sublet or assign any of the services covered by this
Agreement without the express written consent of the City.
13. Non -Waiver. Waiver by the City of any provision of this Agreement or any time limitation
provided for in this Agreement shall not constitute a waiver of any other provision.
14. Termination.
A. The City reserves the right to terminate this Agreement at any time by giving ten (10) days
written notice to the Consultant.
B. In the event of the death of a member, partner or officer of the Consultant, or any of its
supervisory personnel assigned to the project, the surviving members of the Consultant
hereby agree to complete the work under the terms of this Agreement, if requested to do
so by the City. This section shall not be a bar to renegotiations of this Agreement between
surviving members of the Consultant and the City, if the City so chooses.
15. Applicable Law; Venue; Attorney's Fees. This Agreement shall be subject to, and the
Consultant shall at all times comply with, all applicable federal, state and local laws,
regulations, and rules, including the provisions of the City of Tukwila Municipal Code and
ordinances of the City of Tukwila. In the event any suit, arbitration, or other proceeding is
instituted to enforce any term of this Agreement, the parties specifically understand and agree
that venue shall be properly laid in King County, Washington. The prevailing party in any such
action shall be entitled to its attorney's fees and costs of suit. Venue for any action arising
from or related to this Agreement shall be exclusively in King County Superior Court.
16. Severability and Survival. If any term, condition or provision of this Agreement is declared
void or unenforceable or limited in its application or effect, such event shall not affect any other
provisions hereof and all other provisions shall remain fully enforceable. The provisions of this
Agreement, which by their sense and context are reasonably intended to survive the
completion, expiration or cancellation of this Agreement, shall survive termination of this
Agreement.
17. Notices. Notices to the City of Tukwila shall be sent to the following address:

18. Entire Agreement; Modification. This Agreement, together with attachments or addenda,
represents the entire and integrated Agreement between the City and the Consultant and
supersedes all prior negotiations, representations, or agreements written or oral. No

amendment or modification of this Agreement shall be of any force or effect unless it is in
writing and signed by the parties.
19. Dispute Resolution. Any claim, dispute, or other matter in question arising out of or related
to this Agreement shall be subject to a meet -and -confer session as a condition precedent to
mediation. The City and Consultant shall endeavor to resolve claims, disputes, and other
matters in question during the meet- and -confer session. The meet -and -confer session shall
be attended by the City and Consultant or their authorized representatives who shall have the
authority to bind the parties. The meet -and -confer session shall take place within thirty (30)
days after a request by either party, unless the parties mutually agree otherwise. Prior to the
meet -and -confer session, the parties shall exchange relevant information that will assist in
resolving the claim, dispute, or controversy. If the parties cannot reach a mutually
acceptable resolution, they shall proceed to non-binding mediation in accordance with the
terms of this agreement. Any claim, dispute, or other matter in question arising out of or related
to this Agreement shall be subject to non-binding mediation as a condition precedent to
litigation.
20. Consequential Damaqes. The Consultant and City waive consequential damages (such as
lost profits, lost revenues, loss of use, loss of financing, and loss of reputation) for claims,
disputes, or other matters in question arising out of or relating to this Agreement. This mutual
waiver is applicable, without limitation, to all consequential damages whether arising in
contract, warranty, tort (including negligence), strict liability, or equity, or that might arise out
of the parties' indemnification obligations.

Executive Summary
We are pleased to submit the attached information for your consideration in response to the City
of Tukwila Public Works Maintenance & Engineering Building Project.
Wetherholt and Associates, Inc. provides consulting services specializing in roofing,
waterproofing and building envelope components and systems; and related inspection services.
We also provide water intrusion investigation services, and can perform non-destructive moisture
surveys, using capacitance and infrared technology.
Our firm is known for its quality, service, and integrity. Wetherholt and Associates, Inc. is
totally independent and does not have any financial interest in any roofing, waterproofing, or
construction company, allowing us to be objective in advising our clients. Many of our clients
have been with us since our founding in 1984. Their continued positive referrals are what keep
our company growing year after year.
Our staff includes many registered professionals, including a Professional Engineer, Registered
Roof Consultants (RRC), Registered Waterproofing Consultants (RWC), Registered Exterior
Wall Consultants (REWC), Registered Building Envelope Consultants (RBEC) and Registered
Roof Observers (RRO). We continually participate in industry educational opportunities, as both
students and presenters.
Our diverse and experienced staff affords us good flexibility in providing appropriate response
times to varied requests for consulting or inspection services.
Our experience includes a large amount of public sector work and we are familiar with working
under the unique requirements that are often part of this type of project.

Firm Profile
Wetherholt and Associates, Inc. was founded in 1984 to serve the construction industry by assisting in resolving
water intrusion problems. Specifically, we specialize in roofing, waterproofing, and building enclosure trouble
shooting and problem solving. Additional services include concrete consulting, wood decay investigations, interior
moisture (condensation and ventilation) investigation, and alternative dispute resolution as "expert mediators".
Clients include several major school districts, manufacturing companies, and municipal and state government
departments.
The majority of our work is for commercial, institutional, and public sector clients whose properties require careful
and prudent management of resources, both monetarily and functionally. We are familiar with most types of
roofing, waterproofing, and exterior cladding. We have the resources to investigate those with which we might be
unfamiliar.

RRC/RWC/REWC/RBEC; Principals / Senior Field Engineers: Bob Card, F-IIBEC,
RRC/RWC/REWC/RBEC/REWO; Mike Caniglia, RRO/RBEC; Pravat Sripranaratanakul, RRO/RRC/RWC; and

Depending upon the project, we are retained by the design professional or work directly for the owner, to prepare or
review waterproofing, roofing, and reroofing specifications, drawings, and details, as part of the building envelope.
Once the documents are reviewed, we assist with the prebid meeting and issuance of addendum. Once the bids are
received, they are reviewed and awarded, as appropriate. We then conduct the preroofing meeting with the owner,
architect, contractor, and manufacturers to be sure everyone understands the project scope and resolve concerns
which may come up.
Once waterproofing or roofing is started, Wetherholt and Associates, Inc. inspectors are on site, to verify the work
conforms to the contract and assist in avoiding conflict between the specifications and the actual conditions. The
inspectors are familiar with most of the waterproofing and roofing systems on the market today, and the depth of
Wetherholt and Associates, Inc. experience allows us to respond quickly and accurately to most questions or
concerns.
We are capable of determining the types of roof and waterproofing systems in place, performing moisture surveys,
determining leak sources, and generating CAD details.
Unfortunately, not all projects are successful and result in disputes between the parties. Our goal is to be fair and
keep all parties out of litigation. However, we have been retained by litigants to assist them as expert witnesses.

Project Approach and Methods
Depending upon the project, we are retained by a design professional or work directly for the owner/county/district, to
prepare or review specifications, drawings and details, as they pertain to the building envelope. Wetherholt and Associates,
Inc. is ever aware of local and national building and energy code requirements, as they relate to and impact building
envelope detailing and design. When reviewing or preparing specifications, drawings, and details for building envelope
detailing on existing structures, we perform a site visit to review current building conditions. We find it central to the
success of a project that we have a full understanding of the owner/county/district's needs, goals, and standards, specific to
each site, prior to performing these site visits. We find that a pre -design meeting, where each site is discussed in depth, is a
good guide for incorporating our field work into the design work and accomplishing the owner/county/district's mandate
and needs. As part of a larger team, this meeting provides a venue for understanding schedule, site restrictions, project
conditions, and the owner/county/district's goals and allows the owner/county/district to provide notice to the individual
school sites of what will be taking place.
Once the documents are presented to the owner/county/district, we assist with the pre-bid meeting, with issuance of
addendum, and with review of substitution requests. We then assist with all pre -construction meetings, associated with the
building envelope, with the owner/county/district, architect, contractor, appropriate sub -contractors, and manufacturers, to
be sure everyone understands the scope of the work and to resolve concerns which may arise.
Once construction is started, Wetherholt and Associates, Inc. inspectors and engineers can be retained to verify the
installations and applications conform to the contract and assist in avoiding conflict between the specifications and the
actual conditions. By the time of actual construction, the engineers and the inspectors are familiar with the building
envelope systems specified and submitted by the contractor, and the depth of Wetherholt and Associates, Inc. experience
allows us to respond quickly and accurately to questions or concerns, when they arise. Inspectors are knowledgeable of
product application or installation methods and procedures, and they make certain the materials submitted are the materials
utilized. Inspectors verify materials are properly stored, handled, and protected from damage and note any damaged
materials in need of removal from the site. Inspectors also make sure the installation methods conform to the
manufacturer's recommendations and the project specifications and details. Should conflicts arise between the
specifications and the installation, the inspector informs the installer of the problem, so they can review and adjust to meet
the project requirements, and then calls the appropriate party to inform them of the problem, so they can move toward a
resolution.
The inspector observes installations, provides photographic documentation of installation and progress, and chronicles the
work performed in daily site notes, with a full report to follow. If installation of products conflict with the specification or
the submittal, and is not easily resolved, it is noted in the report. These reports discuss what occurred on the project during
the day of the report and are relatively detailed. A few other benchmarks noted within the report are crew size, progress,
and resolution of installations not in alignment with the project documents.
Availability and Capacity
Wetherholt and Associates, Inc. maintains a diverse and experienced staff that affords us good flexibility in providing
appropriate response times to varied requests for consulting or inspection services. Between our offices in Redmond,
Camano Island, and Olympia, we have many registered professionals who can contribute to the project. Our team works
together to accomplish the work for all project sites, with one Field Engineer designated as lead. Our Engineers are
seasoned at managing multiple projects at once. This skill, along with access to the knowledge and assistance of the rest of
our company, will allow our team to adhere to project deadlines without any special issues affecting reliability or delivery.
Our cooperative and flexible work environment means we are always ready and capable of performing any building
envelope project in which the owner/county/district has need.

As requested by Yu -Ann Youn, we are pleased to submit our proposal to provide building envelope
consulting, inspection, and testing services for the City of Tukwila Public Works Maintenance &
Engineering Building project.
We understand our scope of work would include the following:
Phase I: Design Consulting — Estimated Budget $12,950
• Engage with the architect during Schematic Design phase to recommend and guide
waterproofing strategies
• Provide design assistance during Design Development and Construction Document phases.
• Provide a review of building envelope systems; specifications, drawings, details and make
recommendations on products that align with City of Tukwila technical standards.
• Perform a pre -construction investigation of the existing building if needed or requested
• Consulting throughout the design process as requested
• Design Meetings with Client and Architect as requested
• Review substitution requests during bid phase
Phase II: Construction Admin. and Part-time Application Inspection — Estimated Budget $41,850
• Provide part-time construction administration support; review and recommendation of shop
drawings and submittals; attend pre-construction/installation meetings with the design team,

Phase III: Air Barrier and Window Testing — As indicated in Addendum No. 1, include $15,000 for
these services as a placeholder. The actual costs of air barrier and window testing will be
determined at a later time.

Final product selection, specification and design detailing are the responsibility of the Architect or Owner.
Proper execution of the design is the responsibility of the Contractor.
A total budget of $54,800 should be set aside for Phases I and II, and a placeholder of $15,000 should be
set aside for Phase III.
The actual cost for services will depend upon the time spent. Billing for Phases I and II will be on an
hourly basis and invoices are itemized showing dates, hours, and description of work performed. We have
outlined our anticipated scope above. Should it appear the probable cost of consulting services will be
exceeded, authorization would be requested prior to the performance of additional work.
The billing rate for Ray Wetherholt, PE/RRC/RWC/REWC/RBEC/F-IIBEC is $340/hr. Don Davis,
RRC/RWC/REWC/RBEC; Bob Card, F-IIBEC, RRC/RWC/REWC/RBEC; Mike Caniglia,
RRO/RRC/RWC/REWC/RBEC; Pravat Sripranaratanakul, RRO/RRC/RWC, Jose Laurean,
RRO/RRC/RWC, Principals of Wetherholt and Associates, Inc. is $240/hr. Field Engineers are billed at
$205/hr. Roofing Application Inspectors and Technical Services are billed at $120/hr. for straight time,
overtime at $180/hr. Technical Assistants are billed at $90/hr. A supply fee of $25 per cut will be billed
for all test cuts. Expenses are billed at cost plus 10%. Mileage will be billed at $0.70 per mile. Time is
billed portal to portal.
In order to briefly clarify the duties of the inspector: the inspector monitors the material application by
verifying that the contractor is following the specifications. The inspector measures lap seams and verifies
that the materials specified are the materials used, that the installation methods conform to the
manufacturer's recommendations and the Architect's specifications.
Should conflicts arise between the specifications and the installation, the inspector resolves the problem by
calling the appropriate party for an answer. We encourage our inspectors to ask questions, remembering
the cliche "the only dumb question is the one that was not asked".
As the inspector observes items requiring correction, these are pointed out to the foreman of the
construction crew. If the item conflicts with the specification and is not easily resolved, it is noted in a
daily report. These reports discuss what occurred on the project during the day of the report and are
relatively detailed in comparison to the standard testing laboratory report.
The inspector' s authority is limited, in that they cannot change the specifications, direct the work, or
perform the work. They are there to observe that the material is installed in accordance with the
specifications and good practice. Neither is the inspector the guarantor of the performance of the roof or
waterproofing membrane; the manufacturer and the installer provide guarantees because they make and
install the material.
Inspections are performed by personnel experienced in material application inspection and who are
employees of Wetherholt and Associates, Inc.

We are continually updating our inspectors by exposing them to the differing types of roofing,
waterproofing and cladding and meeting with materials representatives to discuss their particular
requirements. In addition, we regularly meet with contractors to discuss products and application
techniques. Our personnel attend local and national seminars where we learn additional roofing,
waterproofing and cladding related information.

Wetherholt and Associates, Inc. does not guarantee the product application or materials, as this is the
province of the manufacturer and applicator. We provide experienced eyes and judgment, along with
detailed reporting to represent the client in a professional manner.
We have performed similar services for clients including Seattle, Public Schools, Issaquah School District,
Renton School District, Edmonds School District, and Everett Public Schools. Services included
consulting, application inspection, investigation of leakage, and evaluation of roof membrane, wall
transitions, sheet metal flashings, below grade waterproofing, and walking decks.
By retaining Wetherholt and Associates, Inc. you will be working with a knowledgeable consultant
familiar with the various building envelope systems available. However, due to the nature of building
envelope specification, installation, and consulting, we have found it necessary to limit our liability.
You, as our client, agree to limit the aggregate amount of any damages and/or costs (including attorney
fees and expert witness fees) that you may recover against Wetherholt and Associates, Inc. (together with
its officers, directors, and employees) on any and all claims and/or causes of action arising under or related
to this Agreement and/or the Project to the amount of compensation paid by you to Wetherholt and
Associates, Inc. for our services pursuant to this Agreement. The types of claims to which this limitation
applies include, but are not limited to, claims based on negligence, professional negligence, professional
malpractice, professional errors or omissions, indemnity or contribution, breach of contract, breach of
expressed or implied warranty and strict liability.
In summary, we try to represent the client in a fair, professional manner that will result in a weatherproof
assembly, which lasts for the long term.
