TheGranteemustcomplywiththeADA,whichprovidescomprehensivecivilrightsprotectionto individualswithdisabilitiesintheareasofemployment,publicaccommodations,stateandlocal governmentservices,andtelecommunications. 4.ASSIGNMENT NeitherthisGrant,noranyclaimarisingunderthisGrant,shallbetransferredorassignedbythe GranteewithoutpriorwrittenconsentofOPD. 5.!hwb9͸{FEES UnlessexpresslypermittedunderanotherprovisionoftheGrant,intheeventoflitigationorother actionbroughttoenforceGrantterms,eachpartyagreestobearitsownğƷƷƚƩƓĻǤ͸ƭfeesandcosts. 6.CONFORMANCE IfanyprovisionofthisGrantviolatesanystatuteorruleoflawoftheStateofWashington,itis consideredmodifiedtoconformtothatstatuteorruleoflaw. 7.ETHICS/CONFLICTSOFINTEREST InperformingunderthisGrant,theGranteeshallassurecompliancewiththeEthicsinPublicService, Chapter42.52RCWandanyotherapplicablecourtruleorstateorfederallawrelatedtoethicsor conflictsofinterest. 8.GOVERNINGLAWANDVENUE ThisGrantshallbeconstruedandinterpretedinaccordancewiththelawsoftheStateofWashington, andthevenueofanyactionbroughthereundershallbeintheSuperiorCourtforThurstonCounty. 9.INDEMNIFICATION Tothefullestextentpermittedbylaw,theGranteeshallindemnify,defend,andholdharmlessthe StateofWashington,OPD,allotheragenciesoftheStateandallofficers,agentsandemployeesofthe State,fromandagainstallclaimsordamagesforinjuriestopersonsorpropertyordeatharisingoutof orincidenttotheperformanceorfailuretoperformtheGrant. 10.LAWS TheGranteeshallcomplywithallapplicablelaws,ordinances,codes,regulations,courtrules,policies oflocalandstateandfederalgovernments,asnoworhereafteramended.
