HomeMy WebLinkAbout24-194 - RAVE Foundation Community Grant Agreement - Youth Soccer Clinics24-194 Council Approval N/A I a& RAVE IL 1WCOMMUNITY GRANT 2024 RAVE Foundation Community Grant Agreement This 2024 RAVE Foundation Community Grant Agreement ("Agreement") is entered into as of December 7,2024 ("Effective Date") by and between the City of Tukwila Parks & Recreation Department ("Grantee"), a Washington municipal corporation with its principal place of business located at Tukwila Community Center 12424 42nd Ave S Tukwila, WA 98168 and RAVE Foundation, a Washington non- profit corporation and the official charitable partner of Seattle Sounders FC ("Grantor") with its principal place of business located at 1901 Oakesdale Ave. SW, Renton, WA 98057. RECITALS WHEREAS, RAVE Foundation, a tax-exempt charitable organization under Section 501(c)(3) of the Internal Revenue Code, is dedicated to building small fields forfree play and invest in programs that use soccer as a vehicle to inspire youth and strengthen communities; and WHEREAS, RAVE Foundation seeks to further its charitable mission by supporting initiatives that align with its goals of fostering physical activity and mental health through soccer -related programs; and WHEREAS, the Grantee has demonstrated the capacity and commitment to implement soccer initiatives that advance physical and mental health outcomes and community connection in underserved communities; and WHEREAS, RAVE Foundation desires to award a grant to the Grantee for the purpose of funding such soccer initiatives, subject to the terms and conditions set forth in this Agreement. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows: AGREEMENT 1. Grant Details: • Grantor: RAVE Foundation • Grantee: City of Tukwila Parks & Recreation • Program Name: Tukwila Sports Academy • Amount Funded: $7500 • Grant Period: December 7, 2024 - December 31, 2025 • Grantee Primary Contact: Thomas McLeod • Grantee Email: Mayor@tukwilawa.gov 2. Description of Program: Utilizing funding provided by this grant, the City of Tukwila Parks and Recreation Department will provide eight (8) youth soccer clinics for U12 youth in the spring and fall of calendar year 2025. These clinics will be offered completely free of charge to children of the Tukwila School District with funding made available through the grant to provide youth in need with the supplies and equipment necessary to participate. 3. Budget: ITEM DESCRIPTION COST Supplies & Equipment $4000 Contracted Services $2000 Gear Scholarship $1500 TOTAL $7500 4. Expectations and Deliverables: A. Project • The Program must be executed in accordance with the plan submitted in the application. • The Program must be completed within the timeline specified in the submitted proposal. B. Budget • The Grant must be used exclusively for the Program as outlined in Section 3. • The Grantee will return to the Grantor any unused portions of the Grant at the close of the Grant Period. The Grant shall be promptly returned should the Grantor determine that the Grantee has not performed in accordance with the terms of this Agreement, including but not limited to in accordance with the approved Program description and Budget. S. Compliance with Laws and Regulations: The Grantee agrees to comply with all applicable State and local ordinances, regulations, and laws in the implementation of the Program funded by the Grant, including but not limited to, requirements for use, permitting, and conducting employee and volunteer background checks including compliance with U.S. Center for SafeSport Minor Athlete Abuse Prevention Policies (MAAPP) where necessary, and any applicable Internal Revenue Code requirements. Grantee agrees not to engage in any activity on behalf of Grantor that jeopardizes Grantor's status as a nonprofit charity qualified to receive tax-deductible contributions under section 501(C)(3) of the Internal Revenue Code. 6. Promotion and Marketing: Grantee agrees to allow Grantor to announce this Grant publicly as part of Grantor's fundraising efforts. Grantor does not require Grantee to promote this Program. However, if Grantee chooses to promote the Program and/or Grant, the Grantee must request prior written approval from Grantor before publishing such marketing materials, including but not limited to promotional materials, social media posts, emails, or any other distribution. 7. Grant Payment Schedule: Following execution of this Agreement and upon receiving Grantee's banking information needed to complete an ACH transfer, the Grant will be disbursed to Grantee, which may take up to three (3) business weeks to complete. Grant payments will be made electronically through Grantor's payment platform BILL. A valid W9 is required for payment. Grantee shall submit W9s to rave@sounder§fc.com. 8. Budget Adherence: It is expected that the Grant will be used for the sole purpose outlined in this Agreement. No additional funds will be available beyond the total Grant allocation. 9. Reporting and Evaluation: Grantee agrees to submit at least two (2) progress reports detailing the progress of the Program and how the Grant is being utilized. A final report is due no later than two (2) weeks post -event or Program. The final report should include: • Narrative of program success/challenges/discoveries • Budget summary of grant funds spent. • Event/program photos • Evaluation, ideally from program/event participants. The Grantor reserves the right to evaluate the success of the Program based on the reports provided. 10. Termination of Grant: The Grantor reserves the right to terminate this Agreement if the Grantee fails to fulfill its obligations outlined herein or if there is a material change in the Program. In the event of termination, any unused portions of the Grant must be returned to the Grantor within thirty (30) days following termination. Grantor is responsible for providing Grantee with the necessary details to refund such Grant amounts to Grantor. 11. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Washington. IN WITNESS WHEREOF, the Grantor and the Grantee, intending to be legally bound, have executed this Agreement as of the Effective Date first above written.
