MEMORANDUM OF UNDERSTANDING

And
CITY OF TUKWILA
I. INTRODUCTION

This MOU is entered into by and between KING CONSERVATION DISTRICT, hereinafter
referred to as "KCD", and the CITY OF TUKWILA, hereinafter referred to as "the CITY."
II. PURPOSE
KCD has agreed to partner with the CITY for the purpose of providing the
services of consultant Equilibrium Economics to carry out a comprehensive
valuation of key ecosystem services of the City's urban forest.
III. PERIOD OF PERFORMANCE
The period of performance of this MOU shall be the date MOU is fully executed to May
31, 2026 unless otherwise terminated as provided by Section VII herein.
IV. SERVICE AREA
The geographic area receiving services defined in this MOU are the city limits of the City
of Tukwila.
V. SCOPE OF WORK

KCD will contract directly with Equilibrium Economics to carry out a comprehensive
valuation of key ecosystem services of the City's urban forest including:
• Stakeholder interviews for both data collection and project communication
purposes
• Data -driven recommendations for the City to consider in managing and
investing in its natural infrastructure on both public and private property.
• An industry standard technical report and public -facing factsheets as guided by
the City.
B. RESPONSIBILITIES/REQUIREMENTS
The responsibilities of KCD shall be as folelows: contract with Equilibrium Economics in
the amount of $63,710, with optional add-ons not to exceed $105,010 to carry out
• Task 1: Current status of City's Natural Infrastructure — includes subtasks and
budget for the important project scoping that will inform future tasks and
budgetary decisions. Note that this task is within the original budget proposed in
the Nov 15th proposal [Budget: $7,0001
• Task 2: Baseline Ecosystem Services Valuation [Budget: $56,710]
• Task 3: Additional Economic Analysis and Evaluation of Project Priorities
[Budget: Not to exceed $22,800]
The City may choose to contract with Equilibrium Economics in an amount not to
exceed $19,300 to carry out the following additional services:
• Task 4: Enhanced Stakeholder Engagement [Budget: Not to exceed $11,700]
• Task 5: Technical Report Design [Budget: Not to exceed $6,000]
• Task 6: Project Team Travel [$800/trip]
VI. REIMBURSEMENT AND METHOD OF PAYMENT
All expenses for this contract shall be funded by KCD, except for Tasks 4-6 of Part V.B.
Scope of Work, which will be funded under a separate agreement by the City, at its
option.
VII. IT IS MUTUALLY UNDERSTOOD AND AGREED BY AND BETWEEN THE
PARTIES THAT
This MOU may be changed, modified, or amended only by written agreement executed
by both parties. Either party may terminate this MOU upon thirty (30) days written
notice to the other party.

If this MOU is so terminated, the parties shall be liable only for performance rendered
or costs incurred in accordance with the terms of this MOU prior to the effective date of
termination.
VIII. INDEMNIFICATION and HOLD HARMLESS
To the fullest extent permitted by law, KCD and the City shall indemnify, defend, and
hold harmless each other, their elected and appointed officials, officers, agents and
employees, from and against all claims for injuries or death, losses or suits including
reasonable attorney fees arising out of or resulting from the indemnifying party's
negligent performance of this MOU.
IX. ENTIRE AGREEMENT
This MOU constitutes the complete terms and conditions agreed upon by the parties.
No other understanding, oral or otherwise, regarding the subject matter of this MOU
shall be binding upon the parties unless in writing and signed by both parties.
X. ORDER OF PRECEDENCE
This MOU is governed by, and interpreted in accordance with, the laws of the State of
Washington. In the event of an inconsistency in the terms and conditions contained in
this MOU, nothing contained herein shall be construed as giving precedence to
provisions of this MOU over any provision of the law.
Both parties indicate agreement with this MOU by their signatures below.
