AMENDMENT NO. 1
to the
MEMORANDUM OF AGREEMENT BETWEEN CITY OF TUKWILA AND KING
COUNTY FOR THE CONSTRUCTION OF METRO BUS STOP #58104.
This First Amendment to the Agreement between King County and the City of Tukwila for the
construction of Metro bus stop #58104 (the "First Amendment" or "Amendment No. 1") is made
by and between the City of Tukwila ("City") and King County, a home rule charter county and
political subdivision of the State of Washington, and legal successor in interest to the
Metropolitan Municipality of Seattle, which provides a regional system of public transportation
pursuant to Chapter 35.58 RCW, Chapter 36.56 RCW, and other authorities (the "County" or
"Metro"). These entities may be referred to hereinafter individually as "Party" or collectively as
the "Parties."
RECITALS
1. The Parties previously entered into a Memorandum of Agreement (the "Agreement") for
the construction of Metro Bus Stop #58104 between City of Tukwila and King County
dated July 10, 2025, to initiate work requested by Metro for the City of Tukwila to
deliver the bus stop construction project on Metro's behalf.
2. Under the Agreement, the County will pay up to $216,252, using only local funds, to the
City for the construction of Metro bus stop #58104.
3. The Parties desire to amend the Agreement to extend the Agreement expiration date to
allow all necessary work to be completed.
NOW THEREFORE, in consideration of the terms, conditions, covenants, and promises
contained herein, the Parties agree as follows:
AGREEMENT
1. Section 1 of the Agreement is deleted in its entirety and replaced with the following:
"This Agreement shall take effect once executed by the Parties ("Effective Date")
and shall remain in effect until December 31, 2027. In addition, this Agreement
also applies to costs incurred and actions taken prior to the "Effective Date" that
specifically fall within the terms of this Agreement."
2. No Other Modifications. Except as specifically provided for in this Amendment No.
and all other provisions of the Agreement shall remain unchanged and in full force and
effect and are hereby ratified and confirmed.

Capitalized Terms. Unless otherwise defined in this First Amendment, capitalized terms
used herein and defined in the Agreement shall be used herein as so defined in the
Agreement. Any terms that are defined in the recitals above are made a part of this First
Amendment.
4. Entire Agreement; Further Modification. This First Amendment together with the
original Agreement contains the entire agreement between the Parties with respect to the
subject matter hereof and supersedes all prior understanding s and agreements on that
subject matter. This First Amendment cannot be changed except by written agreement
between the Parties. If provisions of this First Amendment are inconsistent with the
Agreement, the terms of this First Amendment shall control.
5. Counterparts. This First Amendment may be executed in any number of counterparts
and all counterparts shall be deemed to constitute a single agreement. The execution of
one counterpart by any Party shall have the same force and effect as if that Party had
signed all other counterparts. The signatures to this First Amendment may be executed on
separate pages and when attached to this First Amendment shall constitute one complete
document.
6. Effective Date. This First Amendment shall become legally binding as of the date that
the last Party executes this First Amendment.
