The project also qualifies as an Eligible Facilities Modification under § 6409 of the FCC's Spectrum Act, which requires the City to approve any eligible facilities request for a modification of an existing tower or base station that does not substantially change the physical dimensions of such tower or base station. This proposal is not considered a substantial change under the Tukwila Municipal Code 18.58.200.7, and falls within the guidelines for an eligible facilities modification. DECISION SEPA Determination: The City SEPA Responsible Official has determined that this application does not require a SEPA threshold determination because it is categorically exempt. Decision on Substantive Permit: The Community Development Director has determined that the application for a Wireless Telecommunication Facility does comply with applicable City and state code requirements and has approved this application with the following conditions. 1. The applicant must apply for a business license to operate the wireless facility at this location. 2. Provide an emergency shut-off for both A/C and D/C power to the antenna array or provide a study conducted by a Professional Engineer with experience evaluating compliance with FCC Guidelines for Human Exposure to Radio Frequency Electromagnetic Fields OET Bulletin 65. Specifically, on exposure limit(s) to Fire Department personnel working within 50' of the antenna locations (Roof Top Modeling). III. YOUR APPEAL RIGHTS The Decision on this Permit Application is a Type 1 decision pursuant to Tukwila Municipal Code §18.104.010. Other land use applications related to this project may still be pending. No administrative appeal of a DNS or an EIS is permitted. One administrative appeal to the City Hearing Examiner of the Decision on the Permit itself is permitted. If an MDNS was issued, any person wishing to challenge either the conditions which were imposed by the MDNS decision or the failure of the Department to impose additional conditions in the MDNS must raise such issues as part of the appeal to the Hearing Examiner. A party who is not satisfied with the outcome of the Hearing Examiner appeal process may file an appeal in King County Superior Court from the Hearing Examiner's decision. IV. PROCEDURES AND TIME FOR APPEALING To appeal the Community Development Director decision on the Permit Application, a written notice of appeal must be filed with the Department of Community Development within 14 days of the issuance of this Decision. The requirements for such appeals are set forth in Tukwila Municipal Code Ch. 18.116. All appeal materials shall be submitted to the Department of Community Development. Appeal materials MUST include: 1. The name of the appealing party. 2. The address and phone number of the appealing party; and if the appealing party is a corporation, association or other group, the address and phone number of a contact person authorized to receive notices on the appealing party's behalf. A statement identifying the decision being appealed and the alleged errors in the decision, including any specific challenge to an MDNS. 4. The Notice of Appeal shall identify (a) the specific errors of fact or errors in application of the law in the decision being appealed; (b) the harm suffered or anticipated by the appellant, and (c) the relief sought. The scope of an appeal shall be limited to matters or issues raised in the Notice of Appeal. 5. Appeal fee per the current fee schedule, additional hourly charges may apply. In addition, all hearing examiner costs will be passed through to the appellant. V. APPEAL HEARINGS PROCESS Any administrative appeal regarding the Permit shall be conducted as a closed record hearing before the Hearing Examiner based on the information presented to the Community Development Director, who made the original decision. No new evidence or testimony will be permitted during the appeal hearing. Parties will be allowed to present oral argument based on the information presented to the Community Development Director before their decision was issued. The Hearing Examiner's decision on the appeal is the City's final decision. Any party wishing to challenge the Hearing Examiner's decision on this application must file an appeal pursuant to the procedures and time limitations set forth in RCW Ch. 36.70C. An appeal challenging a DNS, an MDNS or an EIS may be included in such an appeal. If no appeal of the Hearing Examiner's decision is properly filed in Superior Court within such time limit, the Decision on this permit will be final. The City's decision to issue a DNS, an MDNS or an EIS is final for this permit and any other pending permit applications for the development of the subject property. VI. Surrounding parcels to the north, south and east of this parcel are also zoned within the MIC/H zone. Parcels west of this site are located within the Commercial Light Industrial zone. Highway 99 is west of this parcel. Background In 2006, the City adopted a Wireless Facilities Chapter (TMC 18.71) to the Zoning Code. The chapter provides location and design requirements for the placement of WCF within the City of Tukwila. In 2016 the city adopted amendments to this ordinance in compliance with the Federal Spectrum Act. Location Selection Tukwila Municipal Code (TMC) provides a hierarchy of appropriate locations within the City. Generally, co - locations and utilizing existing structures are favored over the development of new standalone WCF within the City. Design Standards The City provides specific design standards for the placement of WCF within the City of Tukwila. The table below indicates if the applicant's proposal complies with required standards. As demonstrated in Table 1, the project meets all applicable development standards for a Type 1 WCF. 3. The proposed modifications will not alter the surrounding land uses in terms of traffic and pedestrian circulation, building or site design. RECOMMENDATIONS The recommendation to the Director of Community Development is to approve this application for a Type 1 Wireless Telecommunications Facility permit with the following conditions: 1. The applicant must apply for a business license to operate the wireless facility at this location. 2. Provide an emergency shut-off for both A/C and D/C power to the antenna array or provide a study conducted by a Professional Engineer with experience evaluating compliance with FCC Guidelines for Human Exposure to Radio Frequency Electromagnetic Fields OET Bulletin 65. Tenant shall have the right (but not the obligation) at any time following the full execution of this Lease and prior to the Commencement Date, to enter the Premises for the purpose of making necessary inspections and engineering surveys (and soil tests where applicable) and other reasonably necessary tests (collectively "Tests") to determine the suitability of the Premises for the Facility (as defined herein) and for the purpose of preparing for the construction of the Facility. During any Tests or pre -construction work. Tenant will have insurance as set forth herein. Tenant will notify Landlord of any proposed Tests or pre -construction work and will coordinate the scheduling of same with Landlord. If Tenant determines that the Premises are unsuitable for Tenant's contemplated use, then Tenant will notify Landlord in writing and this Lease will terminate. It is understood that after commencement date, right to "Test" period is terminated. 7. Provision of Services; Marketing. All requests tor Communication Services ordered by the individual tenant(s) of the Premises shall be delineated and agreed to under separate service orders with Tenant. Tenant(s) shall be charged and billed individually by Tenant for services at the monthly rates and installation charges applicable to the Communications Services ordered. All Communications Services offered to the Premises pursuant to this Agreement are subject to change and may be modified accordingly by Tenant. Landlord agrees that Tenant shall have the right to market and contract with individual tenant(s) of the Building for Communications Services. 8. Tenant's Covenants. During the Term, Tenant hereby covenants and agrees: (a) to keep the Premises in good order. repair and condition throughout the term of this Lease and to promptly and adequately repair any damage to the Premises caused by Tenant by restoring the damaged area(s) to substantially original condition: (b) to comply with all federal, state and municipal laws. orders, rules and regulations applicable to the Premises in relation to Tenant's particular use: (c) to maintain insurance, including commercial general liability insurance with a combined single limit of S2.000,000; and provide Landlord with a Certificate of Insurance reasonably acceptable to landlord: and (d) not to disrupt, affect or interfere with other providers of services in the Premises or with any otter tenant's use and enjoyment of their leased premises or the common areas of the Premises. 9. Landlord's Covenants. Landlord hereby covenants and agrees: (a) that Landlord is the owner of the Building, or the authorized agent of such owner. with full authority to bind such owner to the terms and conditions of this Lease: (b) that Landlord has complied and during the Term of this Lease shall comply with all laws. rules and regulations. including. without limitation, environmental laws. rules and regulations. applicable to the Premises: that Landlord is presently unaware, and during the Tenn of this Lease shall notify Tenant. of any violations of any such laws, rules or regulations; and that the Premises is and during the Term of this lease shall be free of all known environmental hazards. including. without limitation, asbestos. If Landlord or Tenant becomes aware of any suspected environmental condition, such party shall so notify the other in writing. If an environmental condition does exist. Tenant may at its option, terminate this Lease by providing Landlord with thirty (30) days' prior written notice. 10. Casualty or Condemnation. If the Premises or Tenant Facilities arc damaged, destroyed, condemned or transferred in lieu of condemnation, Tenant may elect to terminate this Agreement as of the date of the damage, destruction, condemnation or transfer in lieu of condemnation by giving written notice to Landlord no more than forty-five (45) days following the date of such damage. destniction. condemnation or transfer in lieu of condemnation. If Tenant chooses not to terminate this Agreement. Rent shall be reduced or abated in proportion to the actual reduction or abatement of use of the Premises. 11. Access. Landlord represents and warrants that it has full rights of ingress to and egress from the Premises. and hereby grants such rights to Tenant to the extent required to construct, maintain. install and operate the Facility on the Premises. subject to Sabey Data Center's standard operating procedures, so that Tenant may perform installation. maintenance and emergency repair functions. 11.2 Tenant shall have the right to install utilities including but not limited to fiber telecommunications connectivity. at Tenant's expense. and to improve the present utilities on or near the Premises (including. but not limited to the installation of emergency back-up power). Subject to Landlord's approval of the location, which approval shall not be unreasonably withheld. Tenant shall have the right to place utilities and fiber telecommunications connectivity on (or to bring utilities and fiber telecommunications connectivity across) Landlord's Property in order to service the Premises and the Facility. Landlord must provide approval of location and statement of work prior to commencement of any work. Approval will not be unreasonable withheld. Tenant will he responsible for any additional expense incurred by Landlord for review of project. 11.3 Tenant shall fully and promptly pay for all utilities furnished to the ['remises for the use, operation and maintenance of the Facility. 12. Indemnification. Landlord shall not be liable for. and Tenant shall defend (unless Landlord waives its right to such defense, and in any event with counsel reasonably satisfactory to Landlord), indemnify, hold harmless and protect landlord and its employees and agents from any claim, demand, liability. judgment. award. line. mechanics' lien or other lien, loss, damage. expense, penalty, charge or COSL of any (r:-IL'13:Ir,N r1d x'IC,East'C tcaissIR�I'lllal Aueementdce kind or character (including reasonable attorney fees and court costs) which may be made, incurred or asserted by Tenant, Tenants agents or employees, contractors. or any third parties (including but, not limited to Landlord's agents, servants or employees), to the extent caused by: (a) any labor dispute involving Tenant or its agents or contractors (but excluding labor disputes involving Landlord or its contractors. subcontractors. or agents): (b) the construction. repair, alteration. improvement, use. occupancy or enjoyment of the Premises by 'tenant its contractors. agents, employees and/or customers, licensees. or invitees, (c) injury to, or death of. any person or persons or damage to. or destruction of, any property (including without limitation the costs of investigation, removal or remedial action and disposal of any hazardous or toxic substances. as such terms may be defined under any applicable federal, state, or municipal law, statute, rule or regulation) occurring in. on or about the Premises. unless it is the result of Landlord's negligence, (d) Tenant's breach of this Lease or the acts or omissions of Tenant or its officers, directors, shareholders. employees. contractors, subcontractors. or agents. or (e) infringement or misappropriation of any intellectual property rights. defamation. libel, slander, obscenity, pornography, or violation of the rights of privacy or publicity or spamming, or any other offensive. harassing or illegal conduct by Tenant or its agents, employees. contractors. agents. invitees or licensees or otherwise due to the use of the Premises or the equipment located therein; or (f) Tenant's network or its subcontractor's systems security is breached, including implantation or spread of viruses, malicious acts, denial of service attacks. intormation theft, unauthorized access or use. and other computer crimes by Tenant or its agents. employees, contractors. agents, invitees or licensees. customers. outside parties, or otherwise due to the use of the Premises or the equipment located therein (the "Claims"). Notwithstanding anything to the contrary in this Section 12. nothing in this Section 13 shall relieve Landlord or Landlord from responsibility fur their proportionate share of fault attributable to their negligence or willful misconduct in causing any such Claims. This indemnity shall survive the expiration or temination of this Lease. Utilities. Landlord shall provide Tenant with electricity during the Term of this Lease. Tenant's only remedy for interruption is termination of this agreement. 14. Interference. 'tenant will not use the Premises in any way which materially interferes with Landlord's or its tenants' use of the Building for data center. or telecommunications space. Additionally. Tenant will not interfere with Landlord's or its tenants' current authorized use of telecommunications or office equipment located in the NODE room as of the date of this Lease. Subsequent to the date of this lease. Landlord shall not use, nor shall Landlord permit its Tenants. licensees. employees, invitees or agents to use, any portion of the Property, in any way which interferes with the operations of Tenant. Such interference shall be deemed a material breach by the interfering party. who shall, upon written notice from the other. be responsible for terminating said interference. In the event any such interterence does not cease within 5 days. the parties acknowledge that continuing interference may cause irreparable injury and, therefore, the injured party shall have the right, in addition to any other rights that it may have at law or in equity. to brine a court action to enjoin such interference or to terminate this Lease immediately upon written notice. Landlord shall maintain the Building and the Property in good repair at Landlord's cost. 16. Default. Tenant will be in default if it fails to pay Rent when due and such failure continues for ten (10) days following written notice thereof. Additionally. either party will be in default for failure to perform their obligations hereunder. if such failure continues for thirty (30) days following. written notice thereof, provided, however, if the nature of the default is such that more than thirty (30) days arc required for performance, the party will not be in default if it commences performance within such thirty (30) day period and thereafter diligently pursues the same to completion. 17. Termination. Either party may terminate this Lease on ten (10) days notice to the other party in the event of a default, which is not cured within any applicable cure period. Additionally, Tenant may terminate the Lease on thirty (30) days notice, and without further obligation hereunder. if (i) the Property or the Premises arc condemned or damaged so that. in Tenant's reasonable judgment- Tenant cannot effectively use the Premises; (ii) Tenant's line of sight is materially impaired and such impairment cannot be corrected by Landlord; or (iii) a determination or act by the FCC or other entity with appropriate jurisdiction materially affects Tenant's use of the Premises as intended. At the termination of this Lease, Tenant may. at its sole cost and expense, remove its personal property from the Premises, and repair all damage caused by such removal. Any property not so removed within ninety (90) days after the expiration of this Lease shall be deemed the property of Landlord 18. Insurance. Without limiting Tenant's liability to Landlord or third parties, Tenant or any subcontractor at its sole expense shall agree to maintain the following insurance coverage with insurance carriers reasonably acceptable to Landlord with a rating of no less than A- VIII (as rated by Best's). Tenant will promptly deliver to Landlord. at Landlord's request, a copy of current certificates of insurance demonstrating the required insurance coverage listed below within thirty (30) days of inception or renewal. Tenant will maintain the levels of coverage described below during the Lease Term and will provide Landlord with written notice within thirty (30) days if it switches insurance carriers or if there are major changes restricting coverage or cancellation of the required coverage. If at any time Tenant or its subcontractor fails to procure or maintain required insurance. Landlord has the right, fifteen (15) days after notice to Tenant to procure such insurance on it its behalf or on behalf of Tenant or its subcontractor and the cost shall be borne by Tenant. .All liability insurance shall be primary and non-contributing. Basic Insurance Requirements. Throughout the Term of this Lease. Tenant will carry: 18.1 Worker's Compensation. Commencing on the earlier of the Commencement Date or the date Tenant first enters onto the Premises and continuing throughout the Term of this Lease and any renewal hereof, Tenant shall. at its own expense. keep and maintain in full force and effect. all required worker's compensation coverages. including employer's liability,' with limits as required by law. 18.2 Liability. Insurance. Commencing on the earlier of the Commencement or the date Tenant first enters onto the Premises. Tenant shall. throughout the Term of this Lease and any renewal hereof, at its own expense. keep and maintain in full force and effect, a policy of commercial general liability insurance on an occurrence fornh, including but not limited to Premises and operations: blanket contractual: products/completed operations: Landlords' and contractors' protective; employer's contingent liability (stop gap); personal injury; insuring Tenant's activities upon. in or about the Premises or the Building against claims of bodily injury or death or property, damage or loss with a combined single limit of not less than Two Million Dollars (S2.000.000) per occurrence and Two Million Dollars (S2.000.000) in the aggregate. General aggregate shall apply on a per location basis. Landlord, landlord, Landlord's lender. Landlord's property manager and any other persons or entities Landlord may reasonably designate with an insurable interest shall be an additional insured. 18.3 Property Insurance. -tenant shall, throughout the Term of this Lease and any renewal hereof, at its own expense. keep and maintain in full force and effect special form perils coverage, including EDP perils, data and media. on Tenant's leasehold improvements. including without limitation. any improvements made by Landlord on behalf of Tenant or pursuant to an allowance or credit and on all Tenant's furniture, furnishings, fixtures, equipment and appurtenances, including the Data System and Tenants Equipment, at one hundred percent (100°/u) of the current replacement cost value on an agreed amount basis. Landlord is not required to carry insurance of any kind on Tenant's improvements or on Tenants furniture, furnishings. fixtures, equipment or appurtenances of Tenant under this Lease and Landlord shall not be obligated to repair any damage thereto or replace the same. 18.4 Automobile Liability Insurance Requirements. Tenant shall maintain business automobile coverage with a combined single limit of not Tess than One Million Dollars (S I,000,000). Coverage shall apply to any owned, non -owned or hired automobiles. 18.5 Insurance Policy Requirements. All policies of insurance required under this lease shall be with companies reasonably approved by Landlord. Tenant shall not keep, use, sell or offer for sale in or upon the Premises, nor conduct any operation, which may be prohibited by Landlord's insurance carriers. Tenant shall pay any increase in premiums for property and liability insurance that may be charged during the Lease Term on the amount of such insurance which may be carried by Landlord on the Premises or the Building or buildings of which they are a part, resulting from Tenant's occupancy or from the type of merchandise which "tenant stores or sells on the Premises, whether or not Landlord has consented thereto. In the event of increased insurance costs to Landlord, Tenant shall also pay an additional premium on the insurance policy or policies that Landlord may carry for its protection against loss resulting from any insured event. In determining whether increased premiums are the result of Tenant's use of the Premises. ratcs and/or premiums determined by the organization and/or underwriter setting the insurance rates and/or charges on the Premises or Building or buildings of which they are a part shall be conclusive evidence of the several items and charges which make up the insurance premium. Landlord shall deliver bills for such additional premiums to Tenant at such times as Landlord may elect, and Tenant shall immediately reimburse Landlord therefore. 19. Assignment. Tenant shall not assign or transfer this Lease or any portion of the Premises without the prior written consent of Landlord. Compliance with Laws. Counterparts. This Lease may be executed in counterparts and each counterpart constitutes an original document. 24. Amendments. This Lease may be amended, changed or modified only by written amendment executed by the parties hereto.
