REAL ESTATE PURCHASE AND SALE AGREEMENT
Amendment # 1
Between the City of Tukwila and Sound Generations
That certain Real Estate Purchase and Sale Agreement dated March 6, 2026 (the "PSA"), between
the City of Tukwila, a municipal corporation organized under the laws of the State of Washington
("Seller"), and Sound Generations, a Washington nonprofit corporation ("Buyer') is hereby amended
as follows:
Section 5.2, Extension of Due Diligence Period
The language of Section 5.2 is deleted and replaced with the following language:
Buyer shall have the option to extend the Due Diligence Period for up to two (2) consecutive
extensions of thirty (30) days each, by providing written notice to the Seller prior to the
expiration of the then -current Due Diligence Period. For the first 30 -day period, no additional
funds are required to be placed in escrow. For the second 30 -day period, the Buyer shall
deposit with Escrow Agent a ten thousand dollar ($10,000) fee for the second extension
option, which shall be non-refundable to Buyer (except in the event of default by Seller or as
otherwise expressly set forth herein), but shall be applicable to the Purchase Price at closing.
All other provisions of the PSA shall remain in full force and effect.
