Contractor shall furnish the City with original certificates and a copy of the amendatory endorsements, including but not necessarily limited to the additional insured endorsement, evidencing the insurance requirements of the Contractor before commencement of the work. Upon request by the City, the Contractor shall furnish certified copies of all required insurance policies, including endorsements, required in this Agreement and evidence of all subcontractors' coverage. F. Subcontractors. The Contractor shall cause each and every Subcontractor to provide insurance coverage that complies with all applicable requirements of the Contractor -provided insurance as set forth herein, except the Contractor shall have sole responsibility for determining the limits of coverage required to be obtained by Subcontractors. The Contractor shall ensure that the Public Entity is an additional insured on each and every Subcontractor's Commercial General liability insurance policy using an endorsement as least as broad as ISO CG 20 10 10 01 for ongoing operations and CG 20 37 10 01 for completed operations. G. Notice of Cancellation. The Contractor shall provide the City and all Additional Insureds for this work with written notice of any policy cancellation, within two business days of their receipt of such notice. H. Failure to Maintain Insurance. Failure on the part of the Contractor to maintain the insurance as required shall constitute a material breach of contract, upon which the City may, after giving five business days notice to the Contractor to correct the breach, immediately terminate the contract or, at its discretion, procure or renew such insurance and pay any and all premiums in connection therewith, with any sums so expended to be repaid to the City on demand, or at the sole discretion of the City, offset against funds due the Contractor from the City. 8. Record Keeping and Reporting. A. The Contractor shall maintain accounts and records, including personnel, property, financial and programmatic records which sufficiently and properly reflect all direct and indirect costs of any nature expended and services performed in the performance of this Agreement and other such records as may be deemed necessary by the City to ensure the performance of this Agreement. B. These records shall be maintained for a period of seven (7) years after termination hereof unless permission to destroy them is granted by the office of the archivist in accordance with RCW Chapter 40.14 and by the City. 9. Audits and Inspections. The records and documents with respect to all matters covered by this Agreement shall be subject at all times to inspection, review or audit by law during the performance of this Agreement. 10. Termination. This Agreement may at any time be terminated by the City giving to the Contractor thirty (30) days written notice of the City's intention to terminate the same. Failure to provide products on schedule may result in contract termination. If the Contractor's insurance coverage is canceled for any reason, the City shall have the right to terminate this Agreement immediately. 11. Discrimination Prohibited. The Consultant, with regard to the work performed by it under this Agreement, will not discriminate on the grounds of race, religion, creed, color, national origin, age, veteran status, sex, sexual orientation, gender identity, marital status, political affiliation, the presence of any disability, orany other protected class status under state or federal law, in the selection and retention of employees or procurement of materials or supplies. 12. Assignment and Subcontract. The Contractor shall not assign or subcontract any portion of the services contemplated by this Agreement without the written consent of the City. 13. Entire Agreement: Modification. This Agreement, together with attachments or addenda, represents the "entire and integrated Agreement between the City and the Contractor and supersedes all prior negotiations, representations, or agreements written or oral. No amendment or modification of this Agreement shall be of any force or effect unless it is in writing and signed by the parties. CA Revised May 2020 Page 3 of 4 14. Severability and Survival. If any term, condition or provision of this Agreement is declared void or unenforceable or limited in its application or effect, such event shall not affect any other provisions hereof and all other provisions shall remain fully enforceable. The provisions of this Agreement, which by their sense and context are reasonably intended to survive the completion, expiration or cancellation of this Agreement, shall survive termination of this Agreement. 15. Notices. Notices to the City of Tukwila shall be sent to the following address: City Clerk City of Tukwila 6200 Soufhcenter Blvd. Tukwila, Washington 98188 Notices to the Contractor shall be sent to the address provided by the Contractor upon the signature line below. 16. Applicable Law, Venue; Attorney's Fees. This Agreement shall be governed by and construed in accordance with the laws of the State of Washington. In the event any suit, arbitration, or other proceeding is instituted to enforce any term of this Agreement, the parties specifically understand and agree that venue shall be properly laid in King County, Washington. The prevailing party in any such action shall be entitled to its attorney's fees and costs of suit. DATED this 26th day of May, 2026. Purpose and Scope of Work The City of Tukwila Municipal Court seeks to engage Better Life Community Development Corporation (BLCD) to support justice involved individuals, with the goal of providing comprehensive employment, housing, and mentorship services. These services will assist participants in overcoming barriers to reintegration and achieving sustainable, independent living. 2. Project Goals and Objectives Better Life Community Development Corporation will undertake the following actions to assist participants in their effort to better themselves: A. Employment Services Better Life Community Development Corporation will offer a variety of services to help participants secure sustainable, livable -wage employment. • Employment Assessment: Better Life CDC will conduct a comprehensive employment assessment for each participant to evaluate their skills, interests, and career goals. This assessment will provide individualized training and job placement strategies. Apprenticeships: Better Life Community Development Corporation will facilitate participants' entry into apprenticeship programs that offer hands-on training in high -demand industries, aimed at securing employment with a livable wage. • Soft Skill Training: Better Life Community Development Corporation will provide training in essential soft skills, such as communication, teamwork, problem -solving, and time management, to enhance participants' employability. Resume and Interview Preparation: Better Life Community Development Corporation will assist participants with resume writing, interview techniques, and job search strategies to ensure they are adequately prepared to enter the job market. • Employer Partnerships: Better Life Community Development Corporation will develop partnerships with local businesses that are open to hiring justice -involved individuals. These partnerships will be supported by government incentives and resources. Memorandum of Understanding (MOUs): Better Life Community Development Corporation will work to establish MOUS with government agencies and fair chance employers to create a reliable pipeline for employment opportunities for participants. B. Housing Support Services To ensure participants have stable and affordable housing, Better Life CDC will offer the following CA Revised May 2020 Page 1 of 3 services: Housing Assessment and Placement: Better Life Community Development Corporation will assess participants' housing needs and assist in finding suitable housing options based on their specific requirements. Application Assistance: Better Life Community Development Corporation will provide guidance and support for participants in completing housing applications to meet eligibility criteria for various housing programs. Housing Preparedness: Better Life Community Development Corporation will conduct sessions that focus on preparing participants for housing searches, including understanding tenant rights and responsibilities, and how to maintain rental properties. C. Case Management and Mentorship To provide personalized guidance and support, Better Life Community Development Corporation will offer the following services: • Tailored Mentorship Sessions: Better Life Community Development Corporation will provide individualized mentoring to participants, addressing specific needs related to employment, housing, and successful reintegration. • Continuous Support: The assigned mentor will remain available to provide support to Tukwila Municipal Court clients for the duration of this contract. Peer -to -Peer Coaching: Better Life CDC will facilitate peer-to-peer training programs, wherein participants who have successfully navigated early reintegration stages will provide support to newer participants. This will help build leadership skills and foster a supportive community network. D. Community Engagement and Resource Gathering In addition to the primary services outlined above, Better Life Community Development Corporation will allocate a portion of its time to directly engage with the community to gather additional resources, build partnerships, and expand the program's reach. This will include: Networking with Local Organizations and Agencies: Better Life Community Development Corporation will spend time within the community meeting with local service providers, nonprofits, government agencies, and other stakeholders who can offer additional resources, services, or support for program participants. These partnerships may include substance abuse treatment programs, mental health counseling, education, and training opportunities, and more. • Building Employer Relationships: Better Life Community Development Corporation will work with businesses, employers, and corporations to establish relationships and explore opportunities for program participants, including potential job placements, mentorship programs, and workforce development initiatives. • Community Resource Mapping: Better Life Community Development Corporation will collaborate with local community leaders to map available resources that can assist justice -involved individuals, including emergency housing, CA Revised May 2020 Page 2 of 3 financial support, health services, and family reintegration programs. Deliverables and Timeline Deliverables and Timeline The Service Provider shall deliver the following: Monthly Progress Reports: Better Life Community Development Corporation shall provide detailed monthly reports outlining the progress made toward achieving the program's goals, including the number of participants served, services rendered, and outcomes. INSURANCE The Contractor shall provide insurance coverage that shall be maintained in full force and effect during the term of this Contract, as follows: Commercial General Liability Insurance Policy. Provide a Commercial General Liability Insurance Policy, including contractual liability, written on an occurrence basis, in adequate quantity to protect against legal liability arising out of contract activity but no less than $1,000,000 per occurrence. Cyber Liability Insurance: The Contractor shall maintain Cyber Liability Insurance. The Contractor shall maintain minimum limits of no less than $1,000,000 per occurrence to cover all activities by the Contractor and licensed staff employed or under contract to the Contractor. The state of Washington, its agents, officers, and employees need not be named as additional insureds under this policy. Professional Liability, Errors, and Omissions Insurance. The Contractor shall maintain Professional Liability or Errors and Omissions Insurance. The Contractor shall maintain minimum limits of no less than $1,000,000 per occurrence to cover all activities by the Contractor and licensed staff employed or under contract to the Contractor. The state of Washington, its agents, officers, and employees need not be named as additional insureds under this policy. Fidelity Insurance. Every officer, director, employee, or agent who is authorized to act on behalf of the Contractor for the purpose of receiving or depositing funds into program accounts or issuing financial documents, checks, or other instruments of payment for program costs shall be insured to provide protection against loss CA Revised May 2020 Page 3 of 3 EXHIBIT B Compensation/Budget Compensation Tukwila Municipal Court/Tukwila JC agrees to compensate Better Life Community Development Corporation for services rendered under this contract as follows: Total Contract Amount: Hourly rate of $55.00 per hour Payment Schedule: Monthly Special Terms and Conditions 1. CONTRACT MANAGEMENT The Representative for each of the parties shall be responsible for and shall be the contact person for all communications and billings regarding the performance of this Contract. The Representative for Tukwila Municipal Court and their contact information are identified on the Face Sheet of this Contract. 2. COMPENSATION Tukwila Municipal Court shall pay an amount not to exceed $55.00 per hour for the performance of all things necessary for or incidental to the performance of work as set forth in the Scope of Work. Contractor's compensation for services rendered shall be based on the terms of the Scope of Work and Budget. 3. EXPENSES Contractor for authorized expenses shall not exceed $55.00 per hour which amount is included in the Contract total above. Such expenses may include airfare, other transportation expenses, and lodging and subsistence necessary during periods of required travel. Contractor shall receive compensation for travel expenses at current state travel reimbursement rates. 4. BILLING PROCEDURES AND PAYMENT Tukwila Municipal Court will pay Contractor upon acceptance of services provided and receipt of properly completed invoices, which shall be submitted to the Representative for Tukwila Municipal Court via monthly reporting. If required, the attachments to the invoice request in the Better Life Community Development Corporation Contract shall describe and document, to Tukwila Municipal Courts satisfaction, a description of the work performed, and the progress of the project. 5. AMENDMENTS This Contract may be amended by mutual agreement of the parties. Such amendments shall not be binding unless they are in writing and signed by personnel authorized to bind each of the parties. 6. DURATION OF CONTRACT This contract will begin on Jupxe Q, 2026, and will end opx May 3 Q, 2027 unless extended by mutual agreement. CA Revised May 2020 Page 1 of 2 7. CONFIDENTIALITY The Service Provider agrees to maintain the confidentiality of all participant information in accordance with applicable laws and regulations. 8. COMPLIANCE AND LAWS The Service Provider agrees to comply with all local, state, and federal laws and regulations regarding employment, housing, and the reintegration of justice -involved individuals. 9. INSURANCE AND LIABILITY Better Life Community Development Corporation will maintain appropriate insurance coverage for the duration of this contract. 10. TERMINATION Either party may terminate this contract with 60 days' written notice if there is a breach of contract, or if the program is no longer viable or necessary. CA Revised May 2020 Page 2 of 2
