RESOLUTION NO. 793
A RESOLUTION OF THE CITY OF TUKWILA, WASHINGTON,
ACCEPTING A BILL OF SALE FOR TRAFFIC SIGNAL FROM
JACK A. BENAROYA COMPANY.
WHEREAS, Jack A. Benaroya Company had a traffic signal installed,
at their own expense, at the entrance to the Parkway Plaza Office Building,
17501 Southcenter Parkway, and
WHEREAS, the Jack A. Benaroya Company wishes to give this utility
to the City of Tukwila, at no cost, to add to its normal maintenance program,
and
WHEREAS, the City agrees that this should become a part of their
traffic signal inventory.

NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF TUKWILA, WASHINGTON,
DO RESOLVE AS FOLLOWS:
Section 1. The City of Tukwila hereby accepts the Bill of
Sale from Jack A. Benaroya Company for the traffic signal
located at the entrance to the Parkway Plaza Office Building,
17501 Southcenter Parkway.
Section II. Said Bill of Sale is being accepted, at no cost,
by the City to add to their inventory as well as to their
maintenance program.
Section III. The Mayor is hereby authorized to execute said
Bill of Sale on behalf of the City of Tukwila.
PASSED BY THE CITY COUNCIL OF THE CITY OF TUKWILA, WASHINGTON,
at a regular meeting thereof this 4th day of August 1981.

KNOW ALL MEN BY THESE PRESENTS, that for valuable consideration,
JACK A. BENAROYA COMPANY, a Washington corporation, the Grantor, does
hereby grant, bargain, convey and sell to the CITY OF TUKWILA, King County,

Ln Washington, a municipal corporation, the Grantee, the following:
1 traffic signal, complete
G 1 opticom fire and emergency vehicle
pre emption system
Total Cost $33,177.00
Said improvements are located on Southcenter Parkway, Tukwila, at the
entrance to the Parkway Plaza Office Building located at 17501 Southcenter
Parkway, Tukwila, Washington, and detailed in drawings entitled "Parkway
Plaza Traffic Signal" dated October 24, 1979, as revised "as- built" on
March 3, 1980, by Christopher Brown, Professional Engineer.
To have and to hold the same to the said Grantee, its successors and
assigns forever.
Grantor covenants that it is the lawful owner of said improvements;
that the same are free from all encumbrances; that all bills for labor and
material have been paid, that it has the right to sell the same as afore-
said; that it will warrant and defend the same against the lawful claims
and demands of all persons and will pay any costs, including reasonable
attorney's fees incurred by Grantee, arising out of any such claim or

The Bill of Sale is given A inyconsideration of the agreement of the
Grantee, for itself, its successors and assigns, to incorporate said

improvements into its normal maintenance program and maintain them as
provided in the applicable City Ordinances.

This Bill of Sale is given and accepted pursuant to a motion duly
made, seconded and passed by the City Council of the City of Tukwila, King
County, Washington, on the 4?V day of 1981.
