RESOLUTION NO. 816
WASHINGTON
A RESOLUTION OF THE CITY OF TUKWILA, WASHINGTON,
GRANTING APPROVAL OF AN INTERNAL CORPORATE RE-
ORGANIZATION INVOLVING TELEPROMPTER CORPORATION
AND ITS WHOLLY OWNED SUBSIDIARIES.
WHEREAS, Northwest Cablevision, Inc. "Northwest a sub-
sidiary of Teleprompter Corporation "Teleprompter is the cable
television franchisee in Tukwila, Washington, and
WHEREAS, on August 18, 1981, Westinghouse Broadcasting
Company, Inc., a subsidiary of Westinghouse Electric Corporation
"Westinghouse "),acquired control of Teleprompter, and
WHEREAS, it is proposed that the wholly owned subsidiaries
of Teleprompter be reorganized into Teleprompter, which would be re-
organized into Group W Cable, Inc., its parent corporation, as set forth
in a letter application dated February 22, 1982, and
WHEREAS, approval has been requested as to the proposed
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF TUKWILA,
WASHINGTON, DO RESOLVE AS FOLLOWS:
The Tukwila City Council hereby grants its approval, as
requested, to permit the reorganization of Northwest into
Teleprompter and of Teleprompter into Group W Cable, Inc.,
its parent corporation, all as set forth in the letter ap-
plication dated February 22, 1982. Future internal corporate
transactions between a parent company and a subsidiary are
hereby authorized.
PASSED BY THE CITY COUNCIL OF THE CITY OF TUKWILA, WASHINGTON,
at a regular meeting thereof this 16th day of March 1982.
