HomeMy WebLinkAboutRes 1047 - Tukwila and SeaTac Chamber of Commerce �wIu 1906' CITY OF TUKWILA WASHINGTO RESOLUTION NO. 1047 0042.001.013 JEH /gg 07/15/87 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF TUKWILA, WASHINGTON, APPROVING AN AGREEMENT BETWEEN THE CITY OF TUKWILA AND THE TUKWILA /SEATAC CHAMBER OF COMMERCE AND AUTHORIZING THE MAYOR TO EXECUTE SUCH AGREEMENT. WHEREAS, the promotion of tourism, economic development and business information services in the City of Tukwila are important public goals which create substantial public benefits through increased public revenue, economic prosperity, and a positive image for the City, and WHEREAS, the Tukwila /SeaTac Chamber of Commerce has offered to contract with the City of Tukwila to perform services related to tourist promotion, economic development and business information upon certain terms and conditions, now, therefore THE CITY COUNCIL OF THE CITY OF TUKWILA, WASHINGTON, HEREBY RESOLVE AS FOLLOWS: Section 1. Approval of Agreement. The City Council hereby approves that certain Agreement between the City of Tukwila and the Tukwila /SeaTac Chamber of Commerce in the form attached hereto as Exhibit A. Section 2. Authorization to Execute. The Mayor is hereby authorized to execute, and the City Clerk to attest to, the Agreement approved in Section 1. MORGAN ATTEST /AUTHENTICATED: CITY CLERK MA X I NE AND ERSON APPROVED AS TO FORM OFFI OF THE CIT AT ORNEY FILED WITH THE C Y CLE PASSED BY THE CITY COUNCIL 7 -,20-0 7 RESOLUTION NO. -1- JEH00180R CONTRACT FOR SERVICES THIS CONTRACT is made and entered into the day of 1987, by and between the City of Tukwila, Washington, a municipal corporation, hereinafter called "City" and the Tukwila /Sea Tac Chamber of Commerce, a Washington non profit corporation, hereinafter the "Chamber" W I T N E S S E T H: MIEREAS, the economic well being, stability and diversification of the Tukwila planning area is dependent upon the growth, development and enhancement of business and the creation of jobs;and, WHEREAS, the City of Tukwila and the Tukwila /Sea Tac Chamber of Con share a mutual concern for the continuation of a healthy economic atmosphere in the future; and, WHEREAS, the Chamber plays a leadership role in helping to promote the Tukwila planning area and its impact on local, county, regional and state economies; and, WHEREAS, the City and the Chamber desire to enter into a mutually advantageous agreement to encourage local business development and growth, to encourage shopping and trade, to attract conventions and visitors to the area, to make the corrmunity visible to outside markets for the purpose of encouraging economic development, and to provide information to those individuals and businesses about Tukwila planning area for the purposes of visiting or relocating; Mi THEREFORE, The City and The Chamber for and in consideration of the terms and conditions of this agreement and other gooO anc valuable consideration the receipt thereof is hereby acknowledged, hereby agree as follows: E_ETICLE I. SCGPE CF SERVICE. During the term of this agreement. the Chamber agrees to use it's best efforts to provide services and to work with designated City representatives toward implementation of the services in the areas of a.) INFORMATION SERVICES; b.) CONVENTION %VISITOR. SERVICES; c.) ECONGN_'IC DEVELOPMENT SERVICES as outlined on the following pages. 1 A. INPCFA ATICN SERVICES: Continue to collect and provide information to those individuals and businesses about the Tukwila planning area by; 1. Assist City representatives in the development of City programs aimed at utilizing, promoting and advertising City facilities and properties 2. Prepare and conduct local publicity campaigns stimulating public interest in the areas impact on local, county, regional and state economies 3. Operate an information service for area citizens, both residential and conn,ercial and other out -of -area interest parties requesting information by phone, mail and in person B. CONVENTION /VISITOR SERVICES: Conduct programs and services to actively attract�'secure service area, regional, national and international conventions, groups and visitors and provide information about the Tukwila planning area to them; 1. Serve as a general research reference service on the City's behalf to reply to inquiries relating to City facilities and resources required by tourism related companies or organizations which may consider the area 2. Prepare and make presentations to decision making bodies of convention sponsoring organizations and industry representations of the advantages of the area 3. Conduct familiarization tours of the area to industry reps 4. Design, supervise production and distribute materials describing advantages of the area for visitor travel,.listing events, tours and other information that would stimulate public interest in visiting the area 5. Produce and distribute materials to trade journals, travel writers and other interested parties describing the advantages of visiting the area 6. V"ork w 1,h other tour isni related organizations to coordinate local efforts with those on a county, regional, state and national level C. ECONOMIC DEVELOPMENT SERVICES: Develop and implement a marketing program to promote and enhance quality econon :ic developr-t,ent aimed at improving the image of the Tukwila planning area in a comprehensive effort tc encourage the retention /expansion of exisiting businesses and the attraction of new businesses; facilitating the creation of new jobs; stimulate diversification of the areas economic base; assist the City in 2 er1 the business climate; network with other economic development organizations and agencies; promote the benefits and opportun1tes of the location; recognize market con vtitt: other areas and build a compe t i t i ve e0ge by: 1. Working cooperatively with City representatives in the collection, evaluation and distribution of general economic statistical research data relating to the area 2. Provide resource materials produced by other economic development agencies, both public and private, that would assist businesses in the area to remain or expand and to attract new businesses S. Operate a referral service to provide information required by business 4. work with other economic development agencies of a county, regional, state and national level to establish strong Iines of comunicatio and coordinate objectives to enhance local efforts 5. Develop, supervise production and distribute materials aime at promoting the advantages of locating a business in the area ARTICLE II.RECORDS REPCRTS TERM COMPENSATION A. The Chamber will establish and maintain fiscal and performance records as agreed upon by the City. The Chamber will provide a quarterly update to the Mayor and an annual progress report to the Mayor and City Council, orally and written, to include perforn :anc:e of the contract, programs, progress, financial statement and plans for the coming years program development. This report will coincide with the City's budget process in order to develop the ongoing program. B. The City will pay the Chamber the amount of ($25,000.00) TWENTY FIVE THOUSAND DOLLARS, -for services specified above, with the total sum being paid in two equal installments, the first installment to be paid on 1997 and the second to be p a i d on 1987. The parties agree that this amount constitutes the proportionate share of the costs of the services set forth in Article I which are attributable to providing those services for the City of Tukwila. C. This agreement shall be in effect from July 1, 1987 to December 31 1987 "and supersedes all previous agreements between the parties. ARTICLE 111. INDEPENDENT CONTRACTOR, The Chamber is an independent contractor with respect to the services provided pursuant to this Agreement. Nothing in this Agreement shall be considered to create the relationship of employer and employee between the parties hereto. Neither the Chamber, nor any employee of the Chamber shall be entitled to any benefits accorded Ctiy employees by virtue of the services provided under this Agreement. ITOLF; I;AFAI­F S S The Charrber agrees to release, indemnify and hold the City, its officers err and agents harmless from any and all liability and claims for da.m€..ges by reason of any injury to any person, or persons, including but not limited to the Chamber and its property of any kind whatsoever and to whomsoever belonging, including but not limited to Chamber and its employees and agents of its oligations under the provisions of the Agreement; provided however, that Chamber shall not be liable to the City or any injury to persons or property which may result solely or primarily from t1ie action or non- action of the City or its officers or employees.
