SPONSOR'S Macaulay Associates began the LID Special Benefit Study and right -of -way acquisition
SUMMARY services for the Tukwila Urban Center Access (Klickitat) Project in 2005. The study showed
a definite benefit from the TUC Access Project and LID No. 33 was formed by Ordinance
No. 2260 in 2009. Now that final construction costs are nearly complete, an updated and
final special benefit/ proportionate assessment study is needed. Council is being asked to
approve the contract with Macaulay Associates in the amount of $142,800.00.

ISSUE
Approve a consultant agreement with Macaulay Associates, Ltd. to complete the Local
Improvement District (LID) No. 33 Final Special Benefit/Proportionate Assessment Study.
BACKGROUND
Resolution No. 1698 for the Intent to Form an LID was approved unanimously by City Council
on October 26, 2009. Notices were mailed to all property owners of record on October 1,
2009 and included the preliminary assessment amount for each property within the LID
boundary. On October 29, 2009, notices were mailed regarding the Notice of Public Hearing.
The preliminary assessments were based on the Preliminary Assessment Roll, which was
presented at the Public Hearing on September 21, 2009 where Resolution No. 1690 was
passed (subsequently superseded by Resolution No. 1698). Ordinance 2260 formed LID No.
33 and was approved on November 16, 2009.
DISCUSSION
Now that the construction project is nearly complete and final costs will soon be known after
the final payment is issued to the construction contractor, it is time to prepare the final special
benefit/proportionate assessment study. The attached consultant agreement with a fee of
$142,800.00 is reasonable based on discussions with our bond counsel and potential LID
assessment appeals.
Macaulay and Associates, Ltd. completed the initial assessment study and are familiar with
the properties in the LID boundary and Tukwila's CBD (Commercial Business District). There
is a $1,525,000.00 budget for LID expenses in 2012, which covers the updated assessment
and LID guarantee fund.
RECOMMENDATION
The Council is being asked to approve the consultant agreement with Macaulay Associates,
Ltd. in the amount of $142,800.00 for the LID No. 33 Final Special Benefit/Proportionate
Assessment Study and consider this item at the August 20, 2012 Regular Consent Agenda.

AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF TUKWILA,
WASHINGTON, ORDERING THE IMPROVEMENT OF URBAN ACCESS
FOR THE SOUTHCENTER AREA, WITHIN THE CITY, ALL IN
ACCORDANCE WITH RESOLUTION OF INTENTION NO. 1698;
ESTABLISHING THE KLICKITAT LOCAL IMPROVEMENT DISTRICT (LID
NO. 33) AND ORDERING THE CARRYING OUT OF THE PROPOSED
IMPROVEMENT; DESCRIBING THE METHOD OF ASSESSMENT;
PROVIDING THAT PAYMENT FOR THE IMPROVEMENT BE MADE BY
SPECIAL ASSESSMENT UPON THE PROPERTY IN THE DISTRICT,
PAYABLE BY THE MODE OF "PAYMENT BY BONDS AND PROVIDING
FOR THE ISSUANCE AND SALE OF LOCAL IMPROVEMENT DISTRICT

WHEREAS, by Resolution of Intention No. 1698, adopted on October 26, 2009, the
City Council of the City of Tukwila, Washington, declared its intention to order the
improvement of urban access for the Southcenter area, within the City; and
November 16, 2009, at the City Council Meeting beginning at 7:00 p.m., local time, at
Tukwila City Hall, 6200 Southcenter Boulevard, Tukwila, Washington, is fixed as the
time and place for hearing all matters relating to the proposed improvement, method of
assessment, and all objections thereto, and for determining the method of payment for
the improvement; and
WHEREAS, the Public Works Director caused an estimate to be made of the cost
and expense of the proposed improvement and certified that estimate to the City
Council, together with all papers and information in his possession touching the
proposed improvement, a description of the boundaries of the proposed Local
Improvement District (the "District and a statement of what portion of the cost and
expense of the improvement should be borne by the property within the proposed
district; and
WHEREAS, that estimate is accompanied by a diagram of the proposed
improvement showing thereon the lots, tracts, parcels of land, and other property that
will be specially benefited by the proposed improvement and the estimated cost and
expense thereof to be borne by each lot, tract and parcel of land or other property; and
WHEREAS, due notice of the above hearing was given in the manner provided by
law, and the hearing was held by the City Council on the date and at the time above
mentioned, and objections to the proposed improvement were heard; and
WHEREAS, all objections to the proposed improvement and /or method of
assessment have been duly considered by the City Council, and all persons appearing at
such hearings and wishing to be heard were heard; and
WHEREAS, the City Council has determined it to be in the best interests of the City
that the improvement as hereinafter described be carried out and the District be created
in connection therewith;

NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF TUKWILA,
WASHINGTON, HEREBY ORDAINS AS FOLLOWS:
Section 1. The City Council of the City of Tukwila, Washington, orders the
construction of improvements to urban access for the Southcenter area as described in
Exhibit A attached hereto and by this reference incorporated herein. All of the foregoing
shall be in accordance with the plans and specifications therefore prepared by the
Public Works Director, and may be modified by the City Council as long as such
modification does not affect the purpose of the improvement.
Section 2. There is created and established a local improvement district, to be called
Local Improvement District No. 33, of the City of Tukwila, Washington (the "District
the boundaries of the District being more particularly described in Exhibit B attached
hereto and by this reference incorporated herein.
Section 3. The total estimated cost and expense of the improvement, to be funded by
the District, is declared to be $10,500,000.00, a portion of the costs and expense shall be
borne by and assessed against the property specially benefited by the improvement
included in the District, which embraces as nearly as practicable all property specially
benefited by such improvement.
Section 4. In accordance with the provisions of RCW 35.44.047, the City may use any
method or combination of methods to compute assessments, which may be deemed to
fairly reflect the special benefits to the properties being assessed.
Section 5.
A. Local improvement district warrants may be issued in payment of the cost and
expense of the improvement herein ordered to be assessed, such warrants to be paid out
of the Local Improvement Fund, District No. 33, hereinafter created and referred to as
the Local Improvement Fund and, until the bonds referred to in this section are issued
and delivered to the purchaser thereof, to bear interest from the date thereof at a rate to
be established hereafter by the City Finance Officer, as issuing officer, and to be
redeemed in cash and /or by local improvement district bonds herein authorized to be
issued, such interest bearing warrants to be hereinafter referred to as "revenue
warrants." In anticipation of the issuance of bonds to finance the cost and expense of the
improvement herein ordered to be assessed, the City may provide by ordinance for the
issuance of short -term obligations pursuant to Chapter 39.50 RCW or may (without the
need for additional Council action) utilize one or more interfund loans. If the City
authorizes expenditures to be made for these improvements (other than for any cost or
expense expected to be borne by the City) prior to the date that any short -term
obligations or local improvement district bonds are issued to finance the improvement,
from proceeds of interfund loans or other funds that are not and are not reasonably
expected to be reserved, allocated on a long -term basis, or otherwise set aside to pay the
cost of the improvement herein ordered to be assessed against the property specially
benefited thereby, the City declares its official intent that those expenditures, to the
extent not reimbursed with prepaid special benefit assessments, are to be reimbursed
from proceeds of short -term obligations or local improvement district bonds that are
expected to be issued for the improvement in a principal amount of approximately
$10,500,000.00.
B. The City is authorized to issue local improvement district bonds for the district
that shall bear interest at a rate, and be payable on or before a date, to be hereafter fixed
by ordinance. The bonds shall be issued in exchange for and /or in redemption of any
and all revenue warrants issued hereunder or other short -term obligations hereafter
authorized and not redeemed in cash within 20 days after the expiration of the 30 -day
period for the cash payment without interest of assessments on the assessment roll for
the District. The bonds shall be redeemed by the collection of special assessments to be
levied and assessed against the property within the district, payable in annual
installments, with interest at a rate to be hereafter fixed by ordinance under the mode of

"payment by bonds" as defined by law and the ordinances of the City. The exact form,
amount, date, interest rate and denominations of such bonds shall be hereafter fixed by
ordinance of the City Council. Such bonds shall be sold in such manner as the City
Council shall hereafter determine.
Section 6. In all cases where the work necessary to be done in connection with the
making of said improvement is carried out pursuant to contract upon competitive bids
(and the City shall have and reserves the right to reject any and all bids), the call for
bids shall include a statement that payment for such work will be made in cash
warrants drawn upon the Local Improvement Fund.
Section 7. The Local Improvement Fund for the District is created and established in
the office of the Finance Director. The proceeds from the sale of revenue warrants or
other short -term obligations drawn against the fund that may be issued and sold by the
City, and the collections of special assessments, interest and penalties hereon, shall be
deposited in the Local Improvement Fund. Cash warrants to the contractor or
contractors in payment for the work to be done by them in connection with the
improvement and against cash warrants in payment for all other items of expense in
connection with the improvement shall be issued against the Local Improvement Fund.
Section 8. Within 15 days of the passage of this ordinance there shall be filed with
the Finance Officer the title of the improvement and District number, a copy of the
diagram or print showing the boundaries of the District and the preliminary assessment
roll or abstract of such roll showing thereon the lots, tracts and parcels of land that will
be specially benefited thereby and the estimated cost and expense of such improvement
to be borne by each lot, tract or parcel of land. The Finance Officer immediately shall
post the proposed assessment roll upon his index of local improvement assessments
against the properties affected by the local improvement.
Section 9. All appeals arising from this ordinance shall be within the jurisdiction of
the Tukwila Hearing Examiner.
Section 10. If any section, subsection, paragraph, sentence, clause or phrase of this
ordinance or its application to any person or situation should be held to be invalid or
unconstitutional for any reason by a court of competent jurisdiction, such invalidity or
unconstitutionality shall not affect the validity or constitutionality of the remaining
portions of this ordinance or its application to any other person or situation.
Section 11. This ordinance or a summary thereof consisting of the title shall be
published in the official newspaper of the City, and shall take effect and be in full force
and effect five days after passage and publication as provided by law.

TUKWILA URBAN ACCESS IMPROVEMENT PROJECT
(Local Improvement District 33)
The Tukwila Urban Access Improvement Project consists of a grade separated structure
using a partial lid over Southcenter Parkway, removing left turn /through conflicting
movements. The roadway will be widened on Southcenter Parkway with southbound
lanes depressed under a lid structure accommodating both northbound and eastbound
left turns with Klickitat Drive. Sidewalks will be included on the east side of the street
as well as one new signal and interconnection of three signals to the city's Traffic
Operation Control system.
Included in all the preceding are: legal requirements; permits; licenses; reviews; and any
and all other matters necessary for a complete improvement in accordance with City
standards.

CONSULTANT AGREEMENT FOR
REAL ESTASTE APPRAISAL
SERVICES
THIS AGREEMENT is entered into between the City of Tukwila, Washington, herein -after referred
to as "the City and Macaulay Associates, Ltd., hereinafter referred to as "the Consultant in
consideration of the mutual benefits, terns, and conditions hereinafter specified.
1. Project Designation. The Consultant is retained by the City to perform real estate appraisal
services in connection with the project titled Special Benefit /Proportionate Assessment Study
for Southcenter Parkway LID Final Assessment Roll.
2. Scope of Services. The Consultant agrees to perform the services, identified on Exhibit "A"
attached hereto, including the provision of all labor, materials, equipment and supplies.
3. Time for Performance. Work under this contract shall commence upon the giving of written
notice by the City to the Consultant to proceed. The Consultant shall perform all services and
provide all work product required pursuant to this Agreement within 30 calendar days from
the date written notice is given to proceed, unless an extension of such time is granted in
writing by the City.
4. Payment. The Consultant shall be paid by the City for completed work and for services
rendered under this Agreement as follows:
A. Payment for the work provided by the Consultant shall be made as provided on Exhibit
"B" attached hereto, provided that the total amount of payment to the Consultant shall not
exceed $142,800.00 without express written modification of the Agreement signed by the
City.
B. The Consultant may submit vouchers to the City once per month during the progress of
the work for partial payment for that portion of the project completed to date. Such
vouchers will be checked by the City and, upon approval thereof, payment shall be made
to the Consultant in the amount approved.
C. Final payment of any balance due the Consultant of the total contract price earned will be
made promptly upon its ascertainment and verification by the City after the completion of
the work under this Agreement and its acceptance by the City.
D. Payment is provided in this section shall be full compensation for work performed,
services rendered, and for all materials, supplies, equipment and incidentals necessary to
complete the work.
E. The Consultant's records and accounts pertaining to this Agreement are to be kept
available for inspection by representatives of the City and state for a period of three (3)
years after final payments. Copies shall be made available upon request.

5. Ownership and Use of Documents. All documents, drawings, specifications and other
materials produced by the Consultant in connection with the services rendered under this
Agreement shall be the property of the City whether the project for which they are made is
executed or not. The Consultant shall be pennitted to retain copies, including reproducible
copies, of drawings and specifications for information, reference and use in connection with
the Consultant's endeavors. The Consultant shall not be responsible for any use of the said
documents, drawings, specifications or other materials by the City on any project other than
the project specified in this Agreement.
6. Compliance with Laws. The Consultant shall, in performing the services contemplated by
this Agreement, faithfully observe and comply with all federal, state, and local laws,
ordinances and regulations, applicable to the services to be rendered under this Agreement.
7. Indemnification. The Consultant shall indemnify, defend and hold harmless the City, its
officers, agents and employees, fi•om and against any and all claims, losses or liability,
including attorney's fees, arising from injury or death to persons or damage to property
occasioned by any act, omission or failure of the Consultant, its officers, agents and
employees, in performing the work required by this Agreement. With respect to the perform-
ance of this Agreement and as to claims against the City, its officers, agents and employees,
the Consultant expressly waives its immunity under Title 51 of the Revised Code of
Washington, the Industrial Insurance Act, for injuries to its employees, and agrees that the
obligation to indemnify, defend and hold harmless provided for in this paragraph extends to
any claim brought by or on behalf of any employee of the Consultant. This waiver is mutually
negotiated by the parties. This paragraph shall not apply to any damage resulting from the
sole negligence of the City, its agents and employees. To the extent any of the damages
referenced by this paragraph were caused by or resulted fi•om the concurrent negligence of the
City, its agents or employees, this obligation to indemnify, defend and hold harmless is valid
and enforceable only to the extent of the negligence of the Consultant, its officers, agents and
employees.
8. Insurance. The Consultant shall secure and maintain in force throughout the duration of this
contract comprehensive general liability insurance, with a minimum coverage of $500,000 per
occurrence and $1,000,000 aggregate for personal injury; and $500,000 per occurrence/
aggregate for property damage, and professional liability insurance in the amount of
$1,000,000.
Said general liability policy shall name the City of Tukwila as an additional named insured
and shall include a provision prohibiting cancellation of said policy except upon thirty (30)
days prior written notice to the City. Certificates of coverage as required by this section shall
be delivered to the City within fifteen (15) days of execution of this Agreement.
9. Independent Contractor. The Consultant and the City agree that the Consultant is an inde-
pendent contractor with respect to the services provided pursuant to this Agreement. Nothing
in this Agreement shall be considered to create the relationship of employer and employee
between the parties hereto. Neither the Consultant nor any employee of the Consultant shall

be entitled to any benefits accorded City employees by virtue of the services provided under
this Agreement. The City shall not be responsible for withholding or otherwise deducting
federal income tax or social security or for contributing to the state industrial insurance
program, otherwise assuming the duties of an employer with respect to the Consultant, or any
employee of the Consultant.
10. Covenant Against Contingent Fees. The Consultant warrants that he has not employed or
retained any company or person, other than a bonafide employee working solely for the
Consultant, to solicit or secure this contract, and that he has not paid or agreed to pay any
company or person, other than a bonafide employee working solely for the Consultant, any
fee, commission, percentage, brokerage fee, gifts, or any other consideration contingent upon
or resulting from the award or making of this contract. For breach or violation of this warrant,
the City shall have the right to annul this contract without liability, or in its discretion to
deduct from the contract price or consideration, or otherwise recover, the full amount of such
fee, commission, percentage, brokerage fee, gift, or contingent fee:
11. Discrimination Prohibited. The Consultant, with regard to the work performed by it under
this Agreement, will not discriminate on the grounds of race, color, national origin, religion,
creed, age, sex or the presence of any physical or sensory handicap in the selection and
retention of employees or procurement of materials or supplies.
12. Assignment. The Consultant shall not sublet or assign any of the services covered by this
Agreement without the express written consent of the City.
13. Non Waiver. Waiver by the City of any provision of this Agreement or any time limitation
provided for in this Agreement shall not constitute a waiver of any other provision.
14. Termination.
A. The City reserves the right to tenninate this Agreement at any time by giving ten (10)
days written notice to the Consultant.
B. In the event of the death of a member, partner or officer of the Consultant, or any of its
supervisory personnel assigned to the project, the surviving members of the Consultant
hereby agree to complete the work under the tens of this Agreement, if requested to do
so by the City. This section shall not be a bar to renegotiations of this Agreement
between surviving members of the Consultant and the City, if the City so chooses.
15. Attorneys Fees and Costs. In the event either party shall bring suit against the other to
enforce any provision of this Agreement, the prevailing party in such suit shall be entitled to
recover its costs, including reasonable attorney's fees, incurred in such suit from the losing
party.

17. Integrated Agreement. This Agreement, together with attachments or addenda, represents
the entire and integrated Agreement between the City and the Consultant and supersedes all
prior negotiations, representations, or agreements written or oral. This Agreement may be
amended only by written instrument signed by both the City and the Consultant.

Dear Mr. Giberson:
As requested, I have prepared a time and fee estimate for completion of the above referenced special benefit
study. The scope ofthe assignment will involve completion of final special benefit /proportionate assessment
study and preparation ofa report summarizing our findings. 'There are 278 properties in the LID to be
analyzed within our special benefit/proportionate assessment study. Property types are a mix of commercial
(office and retail), industrial and residential and includes the Westfield Southcenter regional shopping mall.
The report will consider physical and economic characteristics of each affected parcel. A base study will be
undertaken, to consist of the assemblage of pertinent market data and investigation of the environmental,
economic, governmental and social forces influencing the subject area. Consideration will be given to current
zoning, land use trends, building improvements, wetland areas, highest and best use and other factors
influencing market value for each property type or ownership, without and with the amenity of the LID road
improvement project.
The increase in probable market value adhering to each parcel due to the LID project is the measure of special
benefit. The total assessment to be levied will be obtained from the municipal LID coordinator. The sum total
of special benefit estimated for each parcel is the aggregate special benefit attributable to assessable property
within the proposed LID; this total divided into the total LID assessment provides the assessment ratio or the
LID assessment per dollar of special benefit. The special benefit to each parcel times the cost/benefit ratio
results in the individual assessment recommended to that parcel.
The recommended assessments will meet the following two criteria:
a) Each recommended assessment is equal to or less than the special benefit accruing to that particular parcel.
b) Each recommended assessment is fair and in proportion to the special benefit derived by that parcel and
all other parcels due to the LID project.

There are many variables in a sizable project such as this which spans an extended time period. It has been
our experience when working on projects of this magnitude that there are often scheduling changes as well
as revisions to the scope of our assignment and other unforeseen complications which can result in increased
time expenditures. Although this proposal is currently our best estimate of the scope of the assignment, some
llexibility in contract arrangements into which we enter would be most beneficial to both parties. We have
made every effort to estimate the hours needed to successfully complete the assignment, However, if the
scope of work is expanded or other significant factors at some point enter into defining our assignment, it may
be necessary to negotiate supplemental agreements or contract amendments.
Completion of our work, as the assignment is described herein, will result in a final special benefit study
report which provides a narrative summary of the study and tabulation of recommended assessments for the
parcels in our study. Due to the size of the project and number of parcels, individual appraisal reports on each
are not prepared. Limited assignment mass appraisal techniques are utilized and a spreadsheet summarizing
our value conclusions without and with the LID assumed completed is prepared. Based on the above scope
of work, our time and fee estimate is summarized below:

may be additional individual reports prepared prior to finalization of our work and these costs, if necded, will

which is similar to other final assessment roll special benefit studies completed by our office. Completion of

A. TUklylla International Boulevard Sneed Studs Ordinance
Staff is seeking approval of an ordinance that syill losyer the speed limit on Tukwila International Boulevard
from 40 mph to 35 mph from South 139 Street to South 152"" Street.
After the completion of the Tuk -,vila International Boulevard roadsyay improvements, a traffic engineering
study vvas conducted to assess speeds, traffic volume, and collision rates on the roadway. The results of the
study suggest that the speed limit currently set at 40 mph should be reduced to 35 mph. Additionally, mid
block crosswalks at the 14300 and 15100 blocks are proposed to be retrofitted in 2013, which should assist in
the reduction of collision rates. Detailed data collection and results are included in the Committee agenda
packet.
Staff stated that once the speed limit signs change and have been in place for a year, the area will be assessed
again to compare data and findings in order to make any other necessai� adjustments. UNANIMOUS
APPROVAL. FORWARD TO AUGUST 13 COW FOR DISCUSSION.
B. Tukwila Urban Center Access (Klickitat) Proiect LID Final Assessment Study
Staff is seeking Council approval to enter into a consultant agreement with Macaulay Associates for the
final special benefit/proportionate assessment study for TUklylla Urban Center Access (Klickitat) Local
Improvement District (LID) No. 33 in the amount of $142,800.
Macaulav Associates conducted this project's LID preliminary assessment in 2009. The final assessment
will result in a final report of findings relative to 278 properties in the LID and the special benefit to each
parcel based on cost/benefit ratio results that is fair and proportional. UNANIMOUS APPROVAL.

At the request of Committee Chair Ekberg, the Committee discussed the possibility of placing time- limit signs for

Wav South/40 Aveue South and South 00 Street. After a brief discussion, the Committee felt that it yvas a fair
request for signage in order to encourage short -term parking near businesses that offer short-term services. This
item does not need to go to fill Council for consideration as placement of such parking signage is in the prevue of
the City Engineer.
