Upon THE GRANTEES execution of the Assignment of Option dated 13th of March,
2006, THE GRANTOR, Alhadeff Properties, LP, conveys and warrants to the City of

ASSIGNMENT OF OPTION

THIS ASSIGMENT is made effective the / day of _ ec____b.._, ___5, by and between
CASCADE LAND CONSERVANCY ("GLC"), a Washington nonprofit corporation, (herein
"ASSIGNOR") and THE QTY OF TUKWILA, a Washington municipal corporation, (herein
"ASSIGNEE").
RECITALS
A. Pursuant to Option Agreement for Purchase of Real Estate dated December 20, 2005 (the
"Option Agreement"), by and between Alhadeff Properties, LP ("GRANTOR") and Cascade
Land Conservancy ("ASSIGNOR"), Assignor is the holder of certain rights, including but not
limited to the right to purchase real property more particularly described in the Option
Agreement which is situated within the municipal boundaries of the City of Tukwila for fixed
price during the option term.
B. The Option Agreement grants the rights described therein to Assignor and its successors and
assigns.
C Assignor desires to exercise its right of assignment and Assignee, in furtherance of an
authorization by its City Council, desires to accept all of the rights and obligations of Assignor by
means of this instrument.
ASSIGNMENT AND AGREEMENT
1. In consideration of the foregoing, and for other good and valuable consideration, Assignor does
hereby assign to Assignee all of Assignor's rights, duties, and obligations arising out of or
attributable to the Option Agreement by and between Assignor and the aforementioned Seller
concerning that certain parcel of real property situated within the municipal boundaries of the
City of Tukwila, King County, State of Washington that is specifically described in Exhibit A
attached hereto and incorporated herein bythis reference.
2. By its execution of this instrument, Assignee accepts the assignment of Assignor's rights, duties,
and obligations under the Option Agreement, as described herein, including but not limited to
the obligation arising out of the exercise of the option to pay to Seller the full amount of the
purchase price therein specified.
3. By accepting this assignment from Assignor, Assignee fully assumes all of Assignor's rights,
duties, and obligations arising out of or attributable to the Option Agreement and, therefore,
Assignee hereby agrees to indemnify and save harmless Assignor, its officers, directors,
employees, and agents from any and all liability, claims, and costs directly or indirectly related to
the Option Agreement, including but not limited to reasonable fees for legal services.
4. The parties executing this instrument represent and warrant that they are fully authorized and
empowered to act on behalf of the entity they represent and that the terms and conditions
contained herein are and shall be legally binding upon such entities.
