VENDING ACCOUNT SERVICE A_GREEMENT C pis )
It is agreed that the City of Tukwila, 6200 Southcenter Boulevard, Tukwila, Washington 98188,
its successors and assigns, hereafter called Company, and Evergreen Food Services, its successors
and assigns, hereafter called EFS, agree to the following.
1 Company grants EFS exclusive rights to install and operate vending machines for Company's
use at Tukwila Community Center, 12424 42nd Avenue South, Tukwila, Washington
98168

3 EFS agrees to pay the following percentage of gross sales, less taxes and fees ':o the

EFS agrees to submit to the Company by the 20th of each monrht, a deto'ed statement of
sales, taxes, and commisii, pe rren Cage fnr r vi is month. Li agrees to submit with

4 Company agrees to notify EFS promptly of any mae-6 ..dliunctions. EFS agrees to
respond in a timely manner and in no case longer than 48 ;ours to restore the machine(s)
to operating condition
5 EFS agrees to carry necessary product liability, property damage and workman industrial
insurance EFS agrees to comply with all State, Federal and Local laws and regulations
pert;ining to vending machines. In the vent lea.. old taxes become due to any taxing
au _hority, EFS agrees to pay said taxes.
6 EFS may change any machine fisted for a machine of similar ce @te' capacity without
affecting the other terms and provisions of this agrees

8 This agreement may be terminated by the Company at any time upon 30 days written
notice notwithstanding the provisions contained in paragraph 7 above.

find it not financially feasible to continue service due to lack of sales If this should happen,
the company i -(iorstands that a change in equipment may be necessary to more properly

EFS agrees to hold the Company harmless for and indemnify the Company for any loss or
,damage occasioned to any persons or property by reasons of carelessness or negligence on
the part of EFS, Its representatives, agents, employees, successors or assigns, or occasioned
by the malfunction of or defect of any vending machines maintained by EFS ur der this
agreement
