DATE % - `7 SOFTWARE MAINTENANCE AGREEMEN CITY OF TUKWILA. 6200 SOUTHCENTER BLVD. TUKWILA, WA 98188 Software Maintenance Year Terms and Conditions 1988 1. The CUSTOMER agrees to pay, in advance, the assessed maintenance fee in paragraph 2 of "Terms and Conditions", on or before the last day of January of the maintenance year for which this agreement is effective. v-07 2. The amount of the Software Maintenance fee • $ 3025.00 which covers currently installed application so = Software products installed during the maintenance year will be charged on a prorated basis, for that part of the maintenance year in use, at the annual rate of 15 % of the license fee for each software product. The customer will be invoiced for such additional maintenance coverage and will pay the invoice within 30 days of receipt. 3. Efforts outside the intended coverage of this agreement will be charged at the rate of $ 60.00 /hour, plus travel and out-of-pocket expenses for the term of this agreement. Travel time will be charged at 1/2 the normal rate. Travel and out-of-pocket items include but are not limited to airplane fare, lodging and meals and other charges incurred as a normal process of doing business. Support and Service 1. EDEN SYSTEMS INC. will provide telephone support relating to its software products and services between the hours of 8:OOAM and 5:OOPM (CUSTOMER'S local time) except for EDEN SYSTEMS INC.'S observed holidays including New Year's Day, Christmas Day, Thanksgiving (Thursday and Friday), President's Day, Memorial Day, Fourth of July, Labor Day, and Veteran's Day. Telephone support other than normal hours or during the specific days mentioned herein will be charged to the CUSTOMER at EDEN'S normal hourly rate. EDEN SYSTEMS Governmental Data Processing 2. EDEN SYSTEMS INC. will provide modem support relating to its software products and services between the hours of 8:OOAM and 5:OOPM (CUSTOMER'S local time) except for EDEN SYSTEMS INC.'S observed holidays including New Year's Day, Christmas Day, Thanksgiving (Thursday and Friday), President's Day, Memorial Day, Fourth of July, Labor Day and Veteran's Day. Modem support other than normal hours or during the specific days mentioned herein will be charged to the CUSTOMER at EDEN'S normal hourly rate. 3. EDEN SYSTEMS INC. will provide periodic enhancements and improvements to the software. These enhancements and improvements will be officially announced by EDEN SYSTEMS INC. Any enhancement or improvement which depends on a previous enhancement or improvement from a prior maintenance year in which the CUSTOMER was not covered, will be provided to the CUSTOMER at EDEN SYSTEMS INC.'S established feature charge if one exists, or EDEN SYSTEMS INC.'S regular hourly rate, at EDEN SYSTEMS INC.'S option, plus travel, out-of-pocket expenses and other related materials cost. 4. EDEN SYSTEMS INC. will provide and maintain a complete and current copy of the source code for the CUSTOMER, in EDEN SYSTEMS INC.'S offices, including applicable enhancements and improvements covered under this maintenance agreement. 5. In the event that the standard agreement has been modified through prior, mutual agreement between EDEN SYSTEMS INC. and the CUSTOMER, these exceptions to the agreement are defined on the attached "EXCEPTIONS" page.
