his /her designee will communicate space needs, or direct the Provider to communicate space needs to the appropriate building staff, such as the principal vice principal, or school counseling staff Building staff will indicate what spaces Providers may use during the course of the day or evening. Distnct staff may also request that the Distnct establish a system of communicating what services are available in District buildings. 5 Communication with District staff. The Providers' supervisory staff, and if needed, the City's Human Services Manager, shall field questions regarding performance objectives, agency accountability, and scheduling. 6 Space Availability. If the Distnct, due to competing space needs, must move a Provider who has a preexisting arrangement to use a certain space, Distnct staff will give reasonable notice to the Provider and make efforts to supply alternate space 7 Dispute as to Agreement. If a dispute arises from or relates to this Agreement, the City and the District shall attempt to resolve the dispute through direct discussions If the dispute cannot be resolved through discussions, the City will take steps to modify the contract in question. 8 Mutual Defense, Indemnification, and Hold Harmless The Distnct shall indemnify and hold harmless the City and its officers, agents, and employees from any and all claims, actions, suits, liability, loss costs, expenses and damages of any nature whatsoever, by reason or ansing out of any negligent action or omission of the District, its officers, agents and employees in relation to this Agreement The City shall indemnify and hold harmless the Distnct and its officers, agents, and employees from any and all claims, actions, suits, liability, loss costs, expenses and damages of any nature whatsoever, by reason or arising out of any negligent action or omission of the City, its officers, agents and employees in relation to this Agreement. 9 Entire Agreement. This Agreement contains the entire Agreement between the parties hereto and no other agreements, oral or otherwise, regarding the subject matter of this Agreement shall be deemed to exist or to bind any of the parties hereto Any modifications to this agreement shall be in writing and must be approved by the City and the Distnct. 10 Duration. This Agreement shall take effect as of the date of signing, and shall remain in effect for two years The Agreement shall be subject to renewal every two years 11 Termination. Either party may terminate this agreement by giving thirty (30) days wntten notice of termination to the other party
