his /her designee will communicate space needs, or direct the Provider to <br />communicate space needs to the appropriate building staff, such as the <br />principal vice principal, or school counseling staff Building staff will <br />indicate what spaces Providers may use during the course of the day or <br />evening. Distnct staff may also request that the Distnct establish a system of <br />communicating what services are available in District buildings. <br />5 Communication with District staff. The Providers' supervisory staff, and if <br />needed, the City's Human Services Manager, shall field questions regarding <br />performance objectives, agency accountability, and scheduling. <br />6 Space Availability. If the Distnct, due to competing space needs, must move <br />a Provider who has a preexisting arrangement to use a certain space, Distnct <br />staff will give reasonable notice to the Provider and make efforts to supply <br />alternate space <br />7 Dispute as to Agreement. If a dispute arises from or relates to this Agreement, <br />the City and the District shall attempt to resolve the dispute through direct <br />discussions If the dispute cannot be resolved through discussions, the City <br />will take steps to modify the contract in question. <br />8 Mutual Defense, Indemnification, and Hold Harmless <br />The Distnct shall indemnify and hold harmless the City and its officers, <br />agents, and employees from any and all claims, actions, suits, liability, loss <br />costs, expenses and damages of any nature whatsoever, by reason or ansing <br />out of any negligent action or omission of the District, its officers, agents and <br />employees in relation to this Agreement <br />The City shall indemnify and hold harmless the Distnct and its officers, <br />agents, and employees from any and all claims, actions, suits, liability, loss <br />costs, expenses and damages of any nature whatsoever, by reason or arising <br />out of any negligent action or omission of the City, its officers, agents and <br />employees in relation to this Agreement. <br />9 Entire Agreement. This Agreement contains the entire Agreement between <br />the parties hereto and no other agreements, oral or otherwise, regarding the <br />subject matter of this Agreement shall be deemed to exist or to bind any of the <br />parties hereto Any modifications to this agreement shall be in writing and <br />must be approved by the City and the Distnct. <br />10 Duration. This Agreement shall take effect as of the date of signing, and shall <br />remain in effect for two years The Agreement shall be subject to renewal <br />every two years <br />11 Termination. Either party may terminate this agreement by giving thirty (30) <br />days wntten notice of termination to the other party <br />
