state law), and all obligations of Members and parties contracting with Cascade become <br />obligations to the successor entity. <br />ARTICLE 11. Amendments. <br />Amendments to this Contract shall be effective upon approval by 65% Dual Majority <br />Vote (ratified within one hundred and twenty (120) days by 65 as measured by Dual <br />Majority Vote of the Members' legislative authorities. <br />ARTICLE 12. Applicable Law and Venue. <br />This Contract is governed by the laws of the state of Washington. The venue for any <br />legal action arising from a dispute under this Contract is the Superior Court for King County. <br />ARTICLE 13. No Third Party Beneficiaries. <br />There are no third -party beneficiaries to this Contract except for the rights of Bond <br />owners as provided in Section 5.3.2, no person or entity other than an agency signatory to this <br />Contract shall have any rights hereunder or any authority to enforce its provisions, and any <br />such rights or enforcement must be consistent with and subject to the terms of this Contract. <br />ARTICLE 14. Severability. <br />If any provision of this Contract or its application is held by a court of competent <br />jurisdiction to be illegal, invalid, or void, the validity of the remaining provisions of this <br />Contract or its application to other entities or circumstances shall not be affected. The <br />remaining provisions continue in full force and effect, and the parties' rights and obligations <br />must be construed and enforced as if the Contract did not contain the particular invalid <br />provision.
