III. DURATION <br />This Agreement shall become effective as of and shall remain <br />in effect through December 31, 2040. <br />IV. APPROVAL <br />This Agreement will be approved and filed in accordance with chapter 39.34 RCW. <br />V. RENEGOTIATION TO FURTHER EXTEND TERM OF AGREEMENT <br />5.1 The Parties recognize that System Users benefit from long -term Disposal <br />arrangements, both in terms of predictability of System costs and operations, and the likelihood <br />that more cost competitive rates can be achieved with longer -term Disposal contracts as <br />compared to shorter -term contracts. To that end, at least seven (7) years before the date that the <br />County projects that the Cedar Hills Landfill will close, or prior to the end of this Agreement, <br />whichever is sooner, the County will engage with MSWAC and the Solid Waste Advisory <br />Committee, among others, to seek their advice and input on the Disposal alternatives to be used <br />after closure of the Cedar Hills Landfill, associated changes to the System, estimated costs <br />associated with the recommended Disposal alternatives, and amendments to the Comprehensive <br />Solid Waste Management Plan necessary to support these changes. Concurrently, the Parties will <br />meet to negotiate an extension of the term of the Agreement for the purpose of facilitating the <br />long -term Disposal of Solid Waste after closure of the Cedar Hills Landfill. Nothing in this <br />Agreement shall require the Parties to reach agreement on an extension of the term of this <br />Agreement. If the Parties fail to reach agreement on an extension, the Dispute Resolution <br />provisions of Section XIII do not apply, and this Agreement shall remain unchanged. <br />- 8 - <br />
