v. If a Party fails to pay an Estimated Payment or Reconciliation <br />Adjustment Amount within 15 days of the date owed, the Party owed <br />shall notify the owing Party that they have ten (10) days to cure non- <br />payment. If the Party fails to cure its nonpayment within this time <br />period following notice, the amount owed shall accrue interest <br />thereon at the rate of 1% per month from and after the original due <br />date and, if the nonpaying Party is the City, the County at its sole <br />discretion may withhold provision of Animal Services to the City until <br />all outstanding amounts are paid. If the nonpaying Party is the <br />County, the City may withhold future Estimated Payments until all <br />outstanding amounts are paid. Each Party may examine the other's <br />books and records to verify charges. <br />vi. Unless the Parties otherwise direct, payments shall be submitted to <br />the addresses noted at Section 14.g. <br />c. Payment Obligation Survives Expiration or Termination of Agreement. The <br />obligation of the City (or as applicable, the County), to pay an Estimated <br />Payment Amount or Reconciliation Adjustment Amount for a Service Year <br />included in the term of this Agreement shall survive the Expiration or <br />Termination of this Agreement. For example, if this Agreement terminates <br />on December 31, 2015, the Final Estimated 2015 Payment is nevertheless due <br />on or before December 15, 2015, and the Reconciliation Adjustment Amount <br />shall be payable on or before August 15, 2016. <br />d. The Parties agree the payment and reconciliation formulas in this Agreement <br />(including all Exhibits) are fair and reasonable. <br />6. Reconciliation of Estimated Payments and Actual Costs and Revenues. In order <br />that the Contracting Parties share costs of the regional Animal Services Program <br />based on their actual, rather than estimated, licensing revenues, there will be an <br />annual reconciliation. Specifically, on or before June 30 of each year, the County <br />will reconcile amounts owed under this Agreement for the prior Service Year by <br />comparing each Contracting Party's Estimated Payments to the amount derived by <br />recalculating the formulas in Exhibit C using actual revenue data for such Service <br />Period as detailed in Exhibit D. There will also be an adjustment if necessary to <br />account for annexations of areas with a population of 2,500 or more and for changes <br />in relative population shares of Contracting Parties' attributable to Latecomer <br />Cities. The County will provide the results of the reconciliation to all Contracting <br />Parties in writing on or before June 30. The Reconciliation Adjustment Amount will <br />be paid on or before August 15 of the then current year, regardless of the prior <br />termination of the Agreement as per Section 5.c. <br />Document Dated 5-29-12 <br />8 <br />
